WHEREAS, By enactment of Chapter 546 of the Acts of
1970, the composition of the Board of Governors of the
Memorial Hospital of Cumberland purportedly was modified;
and
WHEREAS, In connection with the financing of a proposed
major replacement and renovation of the facilities at the
Memorial Hospital of Cumberland, which project has been
determined to be proper and necessary in order to continue
to provide essential hospital and health services in and
around the Cumberland area, the Board of Governors of the
Memorial Hospital of Cumberland has determined that it
should transfer and lease all or substantially all of its
assets to a private charitable corporation which will assume
all or substantially all of its liabilities and will also
undertake the project and maintain and operate the hospital
and related facilities commonly known as the Memorial
Hospital of Cumberland pursuant to a long term lease from
the City of Cumberland; and
WHEREAS, In order to clarify the power and authority of
the Board of Governors of the Memorial Hospital of
Cumberland to undertake the actions permitted by this Act
and desired to be performed in connection with the proposed
major replacement and renovation of the facilities at the
Memorial Hospital of Cumberland, it is necessary to ratify,
confirm and approve the actions taken and to be taken by the
Board of Governors of the Memorial Hospital of Cumberland
under the authority contained in this Act.
SECTION 1. BE IT ENACTED BY THE GENERAL ASSEMBLY OF
MARYLAND, That Section 15 of Chapter 411 of the Acts of
1927, as amended by Section 2 of Chapter 515 of the Acts of
1929 read(s) as follows:

SECTION 15. AND BE IT FURTHER ENACTED, That [any and
all Acts or parts of Acts, or any part, or parts, of the
City Charter of Cumberland, Maryland, conflicting in any way
herewith, is or are hereby repealed insofar as and to the
extent that the same shall so conflict.] NOTWITHSTANDING
ANYTHING TO THE CONTRARY CONTAINED IN CHAPTER 411 OF THE
ACTS OF 1927, CHAPTER 515 OF THE ACTS OF 1929 OR CHAPTER 546
OF THE ACTS OF 1970, THE BOARD OF GOVERNORS OF THE MEMORIAL
HOSPITAL OF CUMBERLAND SHALL HAVE THE FULL POWER TO
MORTGAGE, SELL, LEASE, ASSIGN, CONVEY, OR TRANSFER ALL OR
ANY PART OF ITS PROPERTY, ASSETS, AND ALL OR ANY PART OF ITS
LIABILITIES AND OBLIGATIONS, CONDITIONALLY OR ABSOLUTELY, TO
SUCH ENTITY OR ENTITIES AS IT SHALL DEEM APPROPRIATE IN
CONNECTION WITH ANY EXPANSION, MODERNIZATION, RENOVATION, OR
CONSTRUCTION OF OR TO THE MEMORIAL HOSPITAL OF CUMBERLAND,
OR ANY PART THEREOF.
