fpectively, to the general meeting; and when the election is finished, the general
meeting may proceed to other bufinefs, and not before. Thomas timer, junior
Jofeph Thornburgh, Jeffe Hollingfworth, William Wilfon, Thomas M'Eldery,
Thomas Poultney, Philip Rogers, George Preftman, Alexander M'Kim,
Nicholas Sluby, John Brown and Michael Diffendaffer, are duly elected, and
hereby are declared to be, the prefent directors, and fo fhall continue to be until
the firft Monday in April, feventeen hundred and ninety-five, and until other
directors are appointed and chofen in their room. ART. 24. Jofeph Townfend
fhall be the prefent treafurer to this fociety, and fo fhall continue to be until the
firft Monday in April, ieventeen hundred and ninety-five, and until another fhall
be chofen in his ftead; which treafurer, and all other future treafurers of this
fociety, fhall have the cuftody of the cafh, fecurities and purchafe deeds, be-
longing to this fociety, and fhall from time to time pay, difpofe of and deliver
the fame according to the orders and directions of the directors, or a major part
of them, and fhall keep regular and fair books of accounts of all cafh, fecurities,
deeds, writings and other things, by him received, or committed to his cuftody,
and of all cafh, fecurities, deeds, writings, and other effects by him paid and de-
livered; and the treafurer fhall, before he enters on the duties of his office, give
fuch fecurity as the directors fhall appoint and require, for the due and faith-
ful difcharge of his trufts, and to account for, and deliver up to his fucceffor
in the faid office, all fuch monies, fecurities, deeds and effe&s, of the focie-
ty, as fhall have come to his hands or cuftody, and which fhall not have been
paid or delivered by the order of the directors, which fecurity the directors for the
time being are hereby required to fee given before any treafurer fhall enter on the
duties of his office, or before he fhall receive the cafh or effects of the faid fociety;

and if, through the default or neglect of the directors, fecurity is not given by
the treafurer as aforefaid, the directors fhall be accountable, and fhall make good
to the fociety all damages that may happen for want thereof until fecurity be
given as aforefaid; and the treafurer for the time being fhall have and receive, out
of the fociety's ftock, fuch commiffion, or other compenfation, for all monies
by him received and expended, and other duties of his office, as the directors may
from time to time deem proper, and if by reafon of death, removal, difability, or
refufal longer to act, it fhall become neceffary to choofe a new treafurer within the
year, the directors fhall call a general meeting for that purpofe. ART. 25. That
the directors for the time being fhall meet when, where, and as often as they fhall
think proper, but at leaft once every month, on the firft Monday in each month,
and being feven in number at leaft, they fhall and may enter upon, order, direct
and difpatch, all fuch matters and things relating to this office as fhall then lie
and come before them, and fuch proceedings fhall be efteemed good and valid in.
all the affairs and bufinefs of this fociety, except in fuch cafes herein mentioned
where a greater number is required; and in cafe any of the directors herein no-
minated and appointed, or hereafter to be elected or appointed, fhall happen to
die, remove out of this ftate, or refute to act as director or directors, or fhall, for
the fpace of two calendar months, wholly omit and neglect to attend the affairs
and bufinefs of the fociety, then and in fuch cafe the directors for the time being,
or feven of them at leaft, all agreeing, (regular and timely notice having been
given to all,) may ele& and choofe other or others, members of the fociety, in
the room and ftead of fuch director or directors who fhall die, remove, refufe, or
negle& to a&, as aforefaid, and fuch choice, being confirmed by a fecond meet-
ing or board of the directors, the member or members fo chofen fhall be director
or directors until the next general ele&ion. ART. 26. That the directors for the
time being, or the major part of them, fhall and may, and they are hereby cm-
powered to inveft the funds of this fociety in bank ftock in the funds or the
United States, or to lend out the fame on notes, with fecurity, negotiable at die
bank of Maryland, or other banks, in their difcretion, for fuch periods as they
may deem proper, provided, that the conditions be that the faid notes be renew-
ed every fixty days, and that the fecurity fhall be changed, if the directors deem
it neceffary, during any of the faid periods; and it is alfo provided, that no larger
fum be lent, on one fecurity, than two thoufand dollars. ART. 27. The orders
of a major part of the directors on the treafurer fhall be complied with by him,
and fhall be good vouchers to indemnify him for the payment or delivery of any
cafh
