LAWS of MARYLAND.

CHAP.
XXXIX.

until the firft Monday in April, feventeen hundred and ninety-five, and till others
fhall be duly chofen in their room; which faid prefent directors, and all future
directors of this fociety, or the major part of them, fhall have power, and are
hereby empowered, to provide a feal for this fociety, and to alter the fame as they
fhall fee fit, from time to time, and when they fhall deem it neceffary, to take a
houfe or room for an office, within the town of Baltimore, at fuch rent or rents,
for fuch term or terms, and under fuch covenants, as they fhall judge meet, and
alfo to appoint one or more clerks or book-keepers, furveyors, meffengers and
other affiftants, and their refpective fees and falaries, as occafion fhall require, to
fix and afcertain, and to take fuch fecurities from them as they fhall think pro-
per and fufficient for the due difcharge of their refpective trufts, offices and
places; and they the faid directors fhall and may alfo, from time to time, direct
and order the making and giving out policies, and from time to time apply, dif-
pofe of, place out, take in, fecure and improve, the flock of this fociety, and
the intereft, profit and produce thereof, for anfwcring the contingent charges of
this fociety, and fatisfying all fuch loffes and damages as fhall or may happen in
or to the fame, and fhall and may alfo purchafe and provide books for accounts,
and all other things needful and requifite for this office, and for the affairs thereof,
and carrying on the fame; and the faid directors fhall and may, and they are
hereby empowered to fufpend, difplace or remove, all or any of the officers, fer-
vants or affiftants, above mentioned, as they fhall fee caufe, and from time to
time fupply and fill up any vacancy which fhall happen on the death or removal
of them, or any of them, fo that fuch difplacing be agreed to by the major
part, at leaft, of all the directors; and the faid directors are hereby empowered
to do, perform and execute, all other acts, matters and things needful, or re-
lating to the premifes, or any of them, which they fhall judge fit and reafona-
ble, and which fhall be according to the tenor and true meaning of the rules,
orders and agreements, in and by thefe prefents declared. ART. 22. That there
fhall be a general meeting of the members of this fociety on the firft Monday in
April, every year, or oftener, if the directors for the time being fhall think fit,
or any twenty members infuring to the value of ten thoufand pounds or upwards
fhall require the fame, at which general meetings all the members of the fociety
fhall have a right and liberty to be prefent; of which general meetings, and of
the matters therein intended to be moved, propofed or tranfacted, notice fhall he
given by the directors, at leaft feven days before the times of fuch meetings, in
one or more of the public news-papers, or other wife, as they fhall fee fit; which
general meeting fhall be capable of acting and managing the affairs of the fociety
that fhall then come before them, and they fhall begin an hour at leaft after the
time appointed for meeting, and fhall choofe a chairman, and after the choice of
a chairman, fhall continue for the fpace of one hour at leaft; and if any chair-
man of the faid general meetings fhall refufe or neglect to put, or offer to the
confideration and determination of the faid general meetings, any queftion or
matter which fhall be then and there propofed, feconded and infifted on, then
the general meeting fhall and they are hereby empowered to chcofe another chair-
man in the room of him fo refufing or neglecting as aforefaid; and all and every
the faid general meetings may and they are hereby declared to have full power
and authority to confider, treat of and determine, concerning all or any the mat-
ters and things relating to the faid foeiety, and the fupport, prefervation and
good order thereof, and to make all rules and regulations not inconfiftent with
the fundamental articles, in matters relating only to the better, more orderly and
fatisfactory management of the affairs of the fociety; at all which meetings the
determination of a majority of the members prefent fhall be conclufive and bind-
ing on the whole fociety. ART. 23. At the general meeting in April yearly,
twelve members of this fociety fhall be chofen by ballot to be directors for the
year enfuing, and one other of the members fhall alfo be chofen treafurer for the
enfuing year, by ballot as aforefaid, the election to begin on the firft day of the
meeting, and to be continued by adjournment, if neceffary, as the directors for
the time being fhall determine; and the directors fhall appoint two of their own
body, and three other members, not directors, to be judges and managers of the
election, who fhall, under their hands, of under the hands of the major part of
them, report the names of the perfons duly elected directors and treafurer, re-
fpectively,
