CHAP. 283.

the time and place of opening said books, and continue
the same open from time to time as long and as often
as they may consider necessary to complete such sub-
scriptions.

Capital stock.

SEC. 2. And be it enacted, That the capital stock of
said company shall be six thousand dollars in shares of
twenty-five dollars each, and all individuals and bodies
politic and corporate, and the commissioners of Alle-
gany county are hereby authorised and empowered to
subscribe for such amount of stock as they may think

the subscriptions of said stock there shall be paid to the
said commissioners upon each share the sum of one dol-
lar, and the residue thereof shall be paid at such time
and in such manner as may be prescribed by the presi-
dent and directors of the company to be by this act in-

SEC. 3. And be it enacted, That whenever one-third
of the shares of the said capital stock shall be subscrib-
ed, then the said subscribers shall be declared to be in-
corporated and made a body politic and corporate by

the name of the Wills' Creek Turnpike Road Com-
pany, for the purpose of making a turnpike road from
the toll gate of the Cumberland and Somerset Turn-
pike Road at Jennings' Run, thence up the Valley of
Wills' creek to the Pennsylvania line, being a distance
of about two miles, and by the aforesaid name to have
succession, and shall be capable in law to have, hold,
purchase, possess and enjoy to them and their succes-
sors, lands and tenements, hereditaments, goods, chat-
tles and effects of what kind, nature or quality soever,
and the same to grant, demise, convey and dispose of,
to sue and be sued, plead and be impleaded, answer and
be answered, defend and be defended in any court of
record or any place whatever, and also to make, have
and use a common seal and the same to break, alter
and renew at pleasure, and also to order, establish and
put in execution such bye-laws, ordinances and re-
gulations as shall seem necessary and convenient for
the government of the said corporation and the manage-
ment and conduct of their officers; provided, the same
be not contrary to the laws and constitution of the
State of Maryland or of the United States.

SEC. 4. And be it enacted, That whenever shares to
the amount of one thousand dollars shall have been
subscribed for the said company, or a majority of them,
shall call a general meeting of the stockholders to be
