and such of the stockholders as shall be present at said
meeting or a majority of them shall be empowered to
elect a president and four directors to manage the af-
fairs of said company lor one year and until a new elec-
tion of president and directors shall be had, and every
stockholder shall be entitled to one vote for every share
of stock he may own.

CHAP. 283.

SEC. 5. And be it enacted, That the president and
directors shall have power to regulate the time, place
and manner of holding the election of president and
directors, which erection shall be held annually, and they
may make and adopt all other regulations which they
may deem necessary and proper for the benefit and

said company shall not be authorised or empowered to
levy a higher amount of toll on any description of travel
on said load than is chargeable under the regulations of
law by the Cumberland and Somerset Turnpike Road
Company.

Proviso

SEC. 6. And be it enacted, That the said company be
and they are hereby authorised to cut, dig and make a
turnpike road from the Pennsylvania line, on the farm
of John M. Buchanan, thence down the Valley of Wills'
creek, by the best and most practicable route to the
Cumberland and Somerset Turnpike Road, at the toll
gate near Jennings' run, said road is not to exceed sixty
feet in width, and so much of the said road shall be
regularly graded and paved with stone so as to conform
as near as may be to the grading and paving of the
Cumberland and Somerset Turnpike road, before pro-
ceeding with the construction of said road the presi-
dent and directors shall obtain the consent of owners
of the land through which the said turnpike road shall
pass, or if the voluntary consent of any owner or own-
ers of land through which said turnpike road shall pass
cannot be obtained, then the said president and directors
shall proceed to obtain the right of way in the same
manner as is prescribed in the act of incorporation of
the Cumberland and Somerset Turnpike Road Com-
pany.

SEC. 7. And be it enacted, That said president and
directors be and they are hereby authorised and empow-
ered whenever they shall have said road finished and in
good travelling condition, to erect such number of gates
and employ such number of toll collectors as they may
deem necessary and proper for the advantage of the
company and the convenience of the public, but in no
event shall they be authorised to demand or receive a
