CHAPTER 401
(House Bill 580)

AN ACT to add a new section to Article 23 of the Annotated
Code of Maryland (1947 Supplement), title "Corporations",
sub-title "Miscellaneous Provisions", said new section to
be known as Section 127%, and to follow immediately after
Section 127A of said Article, relating to the recordation of
corporate documents with the State Tax Commission.

SECTION 1. Be It enacted by the General Assembly of Mary-
land, That a new section be and it is hereby added to Article
23 of the Annotated Code of Maryland (1947 Supplement),
title "Corporations", sub-title "Miscellaneous Provisions",
said new section to be known as Section 1271/2, to follow im-
mediately after Section 127A of said Article, and to read as
follows:

1271/2- The State Tax Commission shall be authorized to
refuse to receive for record or filing any articles of amend-
ment, certificate of amendment, change of name, article sup-
plementary, articles of conversion, declaration, articles of
reduction or articles of revival, of any corporation, or any
agreement of merger or articles of merger when the surviving
corporation is to be a corporation of this State, unless the
certificate of incorporation, articles of incorporation, articles
of association, plan, agreement or regulation, agreement of
consolidation, articles of consolidation, certificate of union,
or special act, as the case may be, by which such corporation,
or surviving corporation, was created, and all amendments
thereto and supplements thereof, have been delivered for
record or filed among the records of the Commission, or among
the records of the Secretary of State or the records of the
Comptroller, or duly recorded originals or certified copies of
all such papers not so recorded, including any special act not
so recorded, have been delivered to it for record, with such
affidavit or certificate of completeness as the Commission may
require. The Commission shall record all such originals and
certified copies without charge and return them to the cor-
poration.

SEC. 2. And be it further enacted, That this Act shall take
effect June 1, 1949.
