pose of; provided the clear yearly value of real and personal
estate of said corporation shall not exceed the sum of one
hundred thousand dollars ($100, 000. 00).
SEC. 2. And be it further enacted, That the said Corpora-
tion and its successors shall have full power and authority to
make, have and use a common seal, with such device and
inscription as it shall see fit and proper, and the same to
break, alter and renew at pleasure.
SEC. 3. And be it further enacted, That the said Corpora-
tion and its successors, by the name, style and title aforesaid
shall be able and capable in law to sue and be sued, plead
and be impleaded in any Court, or before any Judge or Justice,
in any and all manner of suits, complaints, pleas, matters and
demands of whatever nature, kind or form they may be, and
all every matter and thing to do in as full and effectual a
manner as any other person or persons, bodies politic and cor-
porate, within this State, can or may.
SEC. 4. And be it further enacted, That the said Corpora-
tion and its successors shall be and is hereby authorized and
empowered to make, ordain and establish by-laws, regulations
and ordinances, and do everything incident and needful for
the support and the government of said Corporation and man-
aging the funds thereof, provided the said by-laws, regu-
lations and ordinances shall not be repugnant to the Consti-
tution and laws of the United States or of the State of Mary-
land or to the discipline, rules and regulations of the Methodist
Church.
SEC. 5. And be it further enacted, That the said Corpora-
tion shall consist of nine persons who shall be members of
the Methodist Church in good and regular standing, and at
least four (4) of whom shall be members of the Baltimore
Annual Conference of the Methodist Church and the term of
membership shall continue for three years, such term to begin
on the first day of July next, succeeding the election of the
members, as hereinafter provided, and the Baltimore Annual
Conference of the Methodist Church, shall, at each annual
meeting of said Conference, elect, in such mode as to the said
Conference may seem proper, three new members to fill the
places of those members whose terms expire on the first day of
July following said meeting of the Conference, provided how-
ever, that the term of the aforesaid members, Robert F. Stan-
ton, Eugene C. Makosky and W. H.. Best shall expire on July
first, 1941; the term of Forrest Bramble, Edgar A. Sexsmith
and E. A. Lambert shall expire on July first, 1942; and the
term of A. G. Day, F. Murray Benson and Albert H. Dudley
