shall expire on July first, 1943; in case the place of any mem-
ber of said Corporation shall be made vacant by death, resigna-
tion, disqualification or otherwise, before the expiration of
his term it shall be the duty of the remaining members of
the said Corporation, at its first meeting held, at which such
vacancy shall become known, to elect or appoint some person,
a member of the Methodist Church, to fill such vacancy, who
shall, however, hold office only for the unexpired term of the
member whom he thus succeeds; and provided further, that
if the said Baltimore Annual Conference of the Methodist
Church fail at any annual meeting thereof to fill the vacancies
occurring on the first of January next following said meeting,
then the said Corporation, at its next meeting1 after the ad-
journment of said Conference, shall elect members to fill said
vacancies, and the members so elected shall hold membership
for a term of three years in the same manner and with the
same authority as if they had been regularly elected by said
Conference; provided however, that the name of each mem-
ber elected by the Corporation as hereinbefore provided, shall
be submitted to the said Conference at the next annual meet-
ing thereof, after such election and the said Conference shall
have the power to approve such election or to remove any
member or members so elected by the said Corporation, and
to elect another or others in place thereof; but the official
acts of any such member or members before removal shall be
valid and binding upon all concerned.

SEC. 6. And be It further enacted, That the said Corpora-
tion, under its Corporate name, shall have power to take and
hold, by donation, gift, grant, devise or otherwise, any prop-
erty, real, personal or mixed, in the State of Maryland, or in
any other State of the United States, in behalf of and for the
benefit of The Baltimore Annual Conference of the Methodist
Church and the same to manage, grant, convey, lease or other-
wise dispose of and to execute such trust or trusts as may
be confided to such Corporation, the whole to be under the
supervision of and amenable to the said Baltimore Annual
Conference of the Methodist Church.

SEC. 7. And be it further enacted, That the said Corpora-
tion shall also be deemed competent to receive and administer
any special benevolent trust on behalf of The Methodist
Church or any religious, charitable or benevolent object con-
nected with said Church that may be confided or entrusted
to it.

SEC. 8. And be it further enacted, That the said Corpora-
tion shall have a President, a Vice-President, a Secretary and
a Treasurer; such officers to be chosen by said Corporation
