to dispose of, for the use of the said academy, in such manner as to them, or a majority of them,
shall seem most beneficial to the institution, and to receive the rents, issues, profits, income and
interest of the same, and to apply the emoluments thereof to the proper use and advancement of the
said academy.
III. AND BE IT ENACTED, That at all times forever hereafter when any vacancy or vacancies
shall happen in the said community of trustees, by the death, resignation or refusal, of any one or
more of the members thereof, or by the wilful neglect of any one or more of them to attend two.
succeeding stated meetings of the board of trustees, the surviving or remaining trustees, or a majo-
rity of them, shall, with all convenient speed, proceed to elect, by ballot, other sensible and dis-
creet person or persons of the county to be the trustee or trustees to supply the vacancy or va-
cancies, to be supplied by the said trustees, and their successors, or a majority of them, so as to
perpetuate the number of eight persons as trustees of the said academy for ever,
IV. AND BE IT ENACTED, That the said trustees, and their successors, by the name and style
aforesaid, shall be capable in law to sue and be sued, plead and be impleaded, in any court or courts,
and before any judge, justices or justices, within this state, and elsewhere, in all and all manner of
suits, complaints, pleas, causes, matters and demands, of whatsoever kind, nature or form they be,
and all and every other matter or thing to do therein, in as full and effectual manner as any other
person or persons, bodies politic or corporate, within this state, or any other of the United States,
in like cases may or can do or perform; and the said trustees, and their successors, or a majority of
them, shall have full power and authority to have, make and use, one common seal, with such de-
vices and inscriptions as they shall think proper, and therewith to pass and authenticate the certi-
ficates, acts and orders, of the said corporation, and the same seal, at their pleasure, to break, alter
and renew.
V. AND BE IT ENACTED, That the said trustees, and their successors, or a majority of them,
from time to time, and at all times hereafter, shall have full power and authority to constitute and
appoint, in such manner as they shall think best and most convenient, professors, teachers and as-
sistants, for instructing the students and scholars of the said academy in the vernacular and learned
languages, and such sciences and branches of education as they shall think proper and suitable to be
taught therein, and to make fundamental ordinances or regulations for the good government of the
said academy, and the instruction of the youth as aforesaid, and by these ordinances to appoint such
a number of their own body, not less than five, as they may think proper, to be a quorum or com-
mittee for transacting all general an necessary business of the said seminary, and making temporary
rules for the management thereof; and also by the said ordinances to delegate to the professors and
teachers such powers and authorities as they shall think expedient, for the standing government and
discipline of the said seminary, and the execution of the regulations of the same; and also by the
said ordinances to make such regulations for the direction, visitation and examination, of the said
seminary, and the students and scholars therein, as shall best; promote the important objects of the
institution; provided always, that the said ordinances be not repugnant to the constitution and the
laws of this state.
VI. AND BE IT ENACTED, That the said trustees, and their successors, or a majority of them,
shall meet at least four times in every year, in stated quarterly meetings, to be appointed by their
own ordinances, and at such other times as by their said ordinances, or by their own adjournments
they may direct, and when so assembled, they shall have power from time to time to appoint a pre-
sident, treasurer and secretary, to make contracts with the professors or teachers, relative to the
instruction of the scholars to be placed under their care, and for the payment of their salaries, to
examine the progress of the students and scholars in their learning, to hear and determine on all
complaints and appeals, and upon all matters touching the discipline and government of the said
academy, and wholesome execution of their ordinances, and generally to manage the estate and
concerns of the said seminary, in like manner as is usually done for the advancement and advantage
of similar institutions.
VII. AND BE IT ENACTED, That before any trustee herein before appointed, or hereafter to be
elected, shall proceed to execute the trusts and authorities delegated by this act, he shall qualify
himself before some magistrate, by taking an oath, or affirmation, as the case may be, that he will
truly and faithfully execute ami perform the duties of a trustee of the said academy, without partia-
lity or prejudice, according to the best of his skill and judgment, and agreeably to the directions of
this act, and a certificate of such qualification shall be delivered by the magistrate and be affiled
among their proceedings.
