1438 LAWS OF MARYLAND.

directors of said corporation, and they shall have power at any
time after the passage of this Act to organize by the election
of a president and such other directors or officers as in their
judgment may be necessary for the proper management of the
affairs of said company.

SEC. 3. And be it enacted, That the directors thus appointed,
with the president thus appointed and elected, shall serve for
the term of one year from the date of this Act, or until their
successors shall be selected; that the number of directors may
be decreased or increased as may be provided from time to time
in the by-laws. In the case of any increase in the number of
directors to a number exceeding the number of incorporators
herein, the additional directors shall be elected as may be pro-
vided in the by-laws by the directors or by the stockholders at
an annual or at a special meeting. In case of any vacancy in
the board of directors, the remaining directors, by an affirmative
vote of a majority of the board, may select a successor to hold
office for the unexpired portion of the term of the director or
directors whose place shall have become vacant, and until the
election of a successor.

SEC. 4. And be it enacted, That the president and directors
of the said corporation, or the majority of them, shall have the
power to make and adopt or amend such by-laws, rules and
regulations for the direction and management of said company
as may be in their judgment from time to time necessary for
the purposes of said corporation; provided, they are not incon-
sistent with the provisions of this charter; and it shall have
the power to employ all such agents and servants as may be
necessary to effect the purposes of the company.

SEC. 5. And be it enacted, That the company shall have the
power and is hereby expressly authorized to hold, from time to
time, agricultural fairs, give exhibitions of arts, industries,
sciences and athletics, with the right to exhibit and hold con-
tests thereof, and affix the admission fee and dispose of privi-
leges of every kind and character upon the grounds of said
company; to establish and maintain grandstands, amphithe-
atres, tracks for such contests and such other amusements and
entertainments which the board of directors shall deem proper
for the purpose of encouraging the growth and development of
the aviation and kindred contests in America; to lay tracks,
run cars, install lighting and heating plants upon its grounds
and to allot space for all exhibits, and to plan and determine
the scope, character of all such exhibitions and contests, with
the right to award prizes and appoint judges and examiners
in the award of prizes and premiums.
