1314 LAWS OF MARYLAND.

be sued in any court of law or equity, to have and use a com-
mon seal and to alter the same at pleasure, and to make and
adopt a constitution and by-laws for the government of said
corporation, and its officers, agents and employes, and from
time to time to amend the same, and that all the powers
granted to said corporation under the general incorporation
laws of the State of Maryland, authorizing the formation of
such corporations, is hereby sanctioned and full authority is
hereby granted to said corporation to purchase, acquire, erect,
maintain and operate a bridge across the Susquehanna river,
as is set forth in its articles of incorporation, from the city of
Havre de Grace, in Harford county, to the town of Perryville,
in Cecil county, and that said company may, from time to
time, issue as full paid and non-assessable its stock or any
increase or increases thereof in payment for land, bridge,
bridges or other property at a valuation agreed upon, and those
accepting said stock, or their successors in the ownership or
possession thereof, shall not be or become liable to any assess-
ment whatsoever on account of stock so issued, and that said
company may, from time to time, make and issue its negotia-
ble bonds of the denomination and to the number by it to be
determined, and secure the same by a mortgage or mortgages
upon all or any part of its property, real, personal and mixed,
and franchises, whether possessed at the time of making said
mortgage or mortgages, or thereafter acquired, said bonds or
mortgage or mortgages to be made and executed in such form
as the directors of said company shall prescribe, said bonds to
be payable at such time, bear such rate of interest, not exceed-
ing six per centum (G) per annum, and contain such terms,
conditions and provisions as to the said directors shall seem
meet and proper, and to be issued and disposed of from time
to time, upon such terms as the said directors shall determine,
and as may be agreed upon, and in case of sale made by virtue
of said mortgage or mortgages, whether under foreclosure or
other judicial proceedings, or pursuant to any power of sale
contained in said mortgage .or mortgages. The purchaser or
purchasers thereunder, pursuant thereto, or his or their sur-
vivor, survivors, representatives, or assigns may, together with
associates, if any, form a new corporation, in it thereupon shall
become vested with all the powers, property and franchises
thereof owned and possessed by the said "Havre de Grace and
Perryville Bridge Company," and a certificate of the formation
of the said new corporation shall be made, executed, acknowl-
edged and recorded as at present certificates of incorporation
are directed to be made, executed, acknowledged and recorded
by article 23 of the Code of Public General Laws of Mary-
