sary to make said bonds, coupons and mortgages obligatory
upon the consolidated corporation; and after said consolidation
shall have taken place, the meetings of shareholders, as well as
of the directors of the company, may be lawfully held either
in the State of Virginia or Maryland.

Board of
directors.

SEC. 5. And be it further enacted, That at any meeting of
shareholders of the consolidated company, after the resolution
of consolidation shall have been passed by both companies,
and copies of the resolution offered for record as aforesaid, the
shareholders of the consolidated company shall elect a board of
seven directors, who shall hold their offices until the twenty-
seventh day .of December, 1894, and until the election of their
successors; and the said consolidated corporation shall have all
the same powers, rights, privileges and immunities which were
granted to each of the said corporations; and the said directors
and other officers shall have the same powers which were con-
ferred upon directors and officers of said companies by said
Acts of Assembly, respectively; and the capital stock of the
consolidated company shall be the sum of the authorized
capital of said two companies. The shares shall be of the
same par value as at present, and the certificates now outstand-
ing in the names of the stockholders of the two companies
shall thenceforward represent an equal number of said shares
of the same par value in the consolidated corporation; and any
certificates hereafter issued for stock by the consolidated
corporation shall be of the same form as those now outstand-
ing.

SEC. 6. And be it enacted, That this act shall take effect
from the date of its passage.

AN ACT to appropriate a sum of money to pay the claim of
the Board of Managers of Sylvan Retreat Asylum of Alle-
gany County, for the support of two insane convicts at said
asylum for the years 1892 and 1893.
