CHAP. 219.

Style

name and style of the president and directors of the Fred-
erick Manufacturing company; and by that name may sue
and be sued, implead and be impleaded, and do and suffer
all acts, matters and things, which a body politic and cor-
porate may lawfully do and suffer.

General meeting

Sec. 4. And be it enacted, That whenever the said four
hundred shares shall be subscribed, that then the com-
missioners aforesaid, or any three or more of them, shall
by giving at least one week's notice thereof, in one or more
of the newspapers published in the city of Frederick; call
a meeting of the said stockholders in the city of Frederick,

for the purpose of electing from among the stockholders,
seven directors, which election shall be by ballot on the day
and at the place appointed therefor, by the said commission-
ers, from the hour of nine o'clock in the morning, until
four o'clock in the evening, and the persons qualified as
aforesaid, having a plurality of all the votes taken, shall
be deemed and considered the directors of said company,
until a new election shall take place, as hereinafter provid-
ed for: and the said directors, and those from time to time

elected, may and shall appoint by ballot, one of their board,
president.

Votes rated

Sec. 6. And be it enacted, That at all elections to be
holden in virtue of this act, every stockholder shall be en-
titled to vote by himself, his agent, or proxy appointed by
writing, by such stockholder, and every stockholder shall
be entitled to as many votes as he, she or they possess
shares in the said capital stoclc, as far as ten shares, and
one vote for every three shares thereafter.

Commissioner
cease &c.

Sec. 6. And be it enacted, That immediately after the
election of directors as aforesaid, all the powers vested in
the said commissioners by this act, shall cease and deter-
mine, and they shall forthwith deliver over to the said di-
rectors, all the books containing the names of subscribers
for said stock, and all the papers relative thereto: and the
directors to be so first appointed, shall continue in office
for at least one year, and until the first Monday in Sep-
tember, which shall happen after the expiration of the
said first year.

Annual elections .

Sec. 7. And be it enacted, That on the said first Mon-
day in September, and on the same day and month in eve-
ry year thereafter, an election shall be held as aforesaid,
in the city of Frederick, for seven directors qualified as
aforesaid, to continue in office until the first Monday in
September next ensuing, and such election shall be hold-
