make such by-laws as may be necessary for the
management of the business of the Corporation.
hold their offices until their successors are elected
and qualified.

Commission-
ers appointed.

Sec. 5. And be it enacted. That the said Thomas
D. C. Ruth, Samuel W. Spencer, Jesse K. Hines
and John C. Ruth or any two of them, be and they
are hereby appointed Commissioners to receive
subscriptions and payments for shares of the capi-
tal stock of said Corporation, and as soon as five
hundred shares shall have been subscribed for and
one half of said subscription shall have been paid
in, the said Corporation may commence business,
and the said Thomas D. 0. Ruth, Samuel W.
Spencer, Jesse K. Hines and John C. Ruth shall
act as Directors of said Corporation for six months
from the day of commencement of business by this
Corporation.

tion to be gi-
ven.
&

Sec. 6. And be it enacted, That all elections for
Directors shall be notified to the Stockholders by
advertisement for at least twenty days in the coun-
ty papers of Kent and Queen Anne's counties, and
each share of stock of said Corporation shall enti-
tle the colder to one vote.

Stock liable
for debts.

Sec. 7. And be it enacted. That the stock of
said Company shall be deemed personal property,
and that all the property, estate and joint stock
of the Corporation shall be bound and answerable
for its debts and liabilities.

Banking pro-
hibited.

Sec. 8. And be it enacted, That nothing con-
tained herein shall be construed as granting bank-
ing privileges to said Corporation.

Vacancy—
how filled.

Sec. 9. And be it enacted, That in case any of
the above mentioned Commissioners shall resign or
refuse to serve, the remaining members are autho-
rized to fill the vacancy.

In force and
reservation.

Sec. 10. And be it enacted, That this Act shall
take effect from the date of its passage, and that
the General Assembly reserves to itself the right
to alter, amend or annul this Act at pleasure.

May pur-
chase, &c.

Sec. 11. And be it enacted, That those of the
Stockholders regularly engaged in the packing
business shall be entitled to purchase from this
Company such fruits, vegetables, &c., as they
