THOMAS SWANN, ESQUIRE, GOVERNOR. 555

W. Spencer and Jesse K. Hines, of Kent county,
and John C. Ruth; of Queen Anne's county, their
associates, successors and assigns be and they are
hereby created a Corporation and body politic by
the name and style of the Chester Fruit Packing
Company, and by that name may have perpetual
succession, shall be able and capable in law to sue
and be sued, plead and be impleaded, answer and
be answered in any Court of law or equity, and to
make and use a common seal, and to do and per-
form all such other acts in relation to their busi-
ness hereinafter declared, and to establish such
by-laws and regulations as shall be necessary for
conducting their affairs not inconsistent with the
laws of this State or of the United States.

Sec. 2. And be it enacted, That the objects of
said Corporation, are the packing of peaches and
other fruits, oysters, meats and vegetables, the
manufacture of tin cans, the sawing and plaining
of plank, the grinding of sorghum, making lime and
using machinery and other articles of any descrip-
tion, to aid in carrying on the business in all its
branches, and for which purpose they are autho-
rized to purchase and hold all necessary buildings,
machinery, tools, vessels, material, &c,, required
for the conducting of their said business.

Sec. 3. And be it enacted, That the capital stock
of said Corporation shall not exceed one hundred
thousand dollars, and the shares shall be one hun-
dred dollars each.

Sec. 4. And be it enacted, That for the man-
agement of the affairs of the Company, the Stock-holders
shall except as hereafter stated, annually
elect seven Directors, one of whom shall be Presi-
dent of the Company, to be selected by the Direct-
ors at their first meeting after their election, the
said President and Directors so elected shall man-
age the business of said Corporation, shall make
all necessary rules and regulations for the con-
ducting of its affairs; shall appoint one general
superintendent as also an agent to purchase all
necessary articles, and make all contracts required
in the business; as also a Secretary to keep the
books, &c., who shall receive such compensation
as the President and Directors may deem proper
and just, the President and Directors shall also
