first part and William Woodward William H Baldwin Junior
and C. C. Baldwin all of the City of Baltimore in the State
aforesaid of the second part.   Whereas the parties hereto
of the second part being Copartners in business under the firm of
Woodward Baldwin and Company have contracted and
agreed to furnish raw material and to advance money and loan
notes and accept drafts and other negotiable paper for the
accommodation of the said James Sykes to an amount not
exceeding at any one time the total sum of eight thousand
dollars to enable him to carry on the two Factories now
occupied by him to wit the one at Sykesville in Howard
County aforesaid and the other at Oakland in Carroll County
and State of Maryland; with the agreement and understanding
on the party of said Sykes that all goods manufactured at both
of said Factories are to be consigned to the said firm of Woodward
Baldwin & Company in Baltimore and by them sold and the
nett proceeds of all such sales from time to time placed to
the credit of said Sykes; And it is also the further agreement
and understanding of the parties aforesaid that the said management
shall continue so long as the said James Sykes shall carry on
the aforesaid Factories or until terminated by either party's giving
the other sixty days notice in writing;      And whereas
for the purpose of securing to the said firm of Woodward Baldwin
& Company the payment for all raw material furnished and to
be furnished and all advances or loans of cash acceptances of
drafts and other negotiable paper and loans of notes not exceeding
in amount however at any one time the total sum of eight thousand
dollars these presents are executed the execution hereof being a
condition agreed upon between the parties prior to the consent on
the part of said firm to extend to said James Sykes the credit
facilities aforesaid                 Now this Indenture Witnesseth
that for and in consideration of the premises and of the sum of five
dollars to the said party of the first part paid by the parties of the
second part hereto; the said James Sykes doth hereby grant bargain
sell convey and assign unto the said William Woodward William
H. Baldwin Junior and C. C. Baldwin as Copartners aforesaid their
executors administrators and assigns.   All the Cotton and other
raw material sold by the said firm to the said James Sykes and all
other the material and goods manufactured and unmanufactured
now in the aforesaid factories and in each of them and also
all cotton and raw material of every kind and description and
goods manufactured and unmanufactured, which may at any
time or times during the continuance of this Mortgage be therein
or be furnished by said firm to him as aforesaid; and all goods
which may from time to time be in the store of said parties
