issuance and sale (which may be by public sale, or by
private negotiated sale without advertisement or publication
of notice of sale, or solicitation of competitive bids as
the Council may deem appropriate), the time or times of
issuance, and any and all other details incident to any such
bonds, notes or other evidences of indebtedness and the
issuance, sale and delivery thereof, and of any and all
transactions relating thereto, and may authorize and empower
the Mayor and City Council of Ocean City by resolution to
determine and set forth any and all of the foregoing matters
and to do any and all things necessary, proper, desirable or
expedient in connection with the issuance, sale and delivery
of such bonds, notes or other evidences of indebtedness and
any and all transactions relating thereto; providing that
such bonds, notes or other evidences of indebtedness may be
secured by a trust agreement by and between the Mayor and
City Council of Ocean City and a corporate trustee having
trust powers within or without the State of Maryland;
generally describing such trust agreement, and providing
that the authorizing ordinance or resolution or any such
trust agreement may contain appropriate provisions for the
protection and enforcement of the rights and remedies of the
holders of any such bonds, notes or other evidences of
indebtedness and of the Trustee; providing that any and all
costs and expenses incurred in connection with the
authorization, issuance, sale and delivery of such bonds,
notes or other evidences of indebtedness and any and all of
the transactions relating thereto (including, without
limitation, the carrying out of the provisions of the
ordinance, resolution and any such trust agreement pursuant
thereto) may be treated as part of the cost of the financing
of any project or projects whose financing is undertaken by
issuance of said bonds, notes or other evidences of
indebtedness; and generally relating to the authorization,
issuance, sale and delivery of such bonds, notes or other
evidences of indebtedness.

RESOLUTION of the Mayor and City Council of Ocean City,
Maryland, adopted pursuant to the authority of Article 11E
of the Constitution of Maryland and Section 13 of Article
23A of the Annotated Code of Maryland (1981 Replacement
