(C) SECRETARY-TREASURER.

THE SECRETARY-TREASURER SHALL KEEP A RECORD OF THE
PROCEEDINGS OF THE BOARD.

REVISOR'S NOTE: Subsections (a) and (c) of this section
are new language derived without substantive
change from Art. 43, § 501(a) and the fourth
sentence and the last clause of the fifth
sentence of (c).

Subsection (b) of this section is standard
language added to clarify the manner of election
for officers of the Board.

In subsection (c) of this section, the term
"secretary-treasurer" is substituted for
"secretary" for consistency.

As to subsection (c) of this section, the present
requirement that records kept by the
secretary-treasurer be open for public inspection
at all times is deleted as repetitive of
independent provisions of law. See Art. 76A, §§
1(a) and 2(a) of the Code. Although Art. 76A
requires records to be open for public inspection
at all "reasonable" times, and present Art. 43, §
501(c) states that the secretary-treasurer shall
keep the records open "at all times", the element
of reasonableness is implied. Therefore, the two
provisions are essentially the same.

The first sentence of Art. 43, § 511, which
requires the secretary-treasurer to be bonded is
deleted as unnecessary since, in fact, all State
employees and officers are covered by a blanket
bond.

The reference in present Art. 43, § 501(a) to the
first meeting of the original Board is deleted as
unnecessary.

3-204. QUORUM; MEETINGS; COMPENSATION; STAFF.

(A)  QUORUM.

A MAJORITY OF THE FULL AUTHORIZED MEMBERSHIP OF THE
BOARD IS A QUORUM.

(B)  MEETINGS.

THE BOARD SHALL DETERMINE THE TIMES AND PLACES OF ITS
MEETINGS.

(C) COMPENSATION.
