If any officer, shareholder, agent or employee of a corporation
organized under this subtitle who has been rendering professional
service to the public becomes legally disqualified to render such pro-
fessional services within this state, or is elected to a public office
THAT or accepts employment that, pursuant to existing law, places
restrictions or limitations upon PROHIBITS his continued rendering
of such professional services, he shall immediately sever all employ-
ment with, and financial interests in, such corporation. A corpora-
tion's failure to require compliance with this provision shall consti-
tute a ground for the forfeiture of its articles of incorporation and
its dissolution. When a corporation's failure to comply with this pro-
vision is brought to the attention of the office of the State Depart-
ment of Assessments and Taxation, this Department shall immedi-
ately certify that fact to the attorney general for appropriate action
to dissolve the corporation.

No shareholder of a corporation organized under this subtitle may
sell or transfer his shares in the corporation except to another in-
dividual who is eligible to be a shareholder of the corporation.
440.
The corporate name of a corporation organized under this sub-
title shall contain the last names of some or all of the shareholders
and shall also contain the word "chartered" or "professional asso-
ciation" or the abbreviation "P.A.". The use of the words "company,"
"corporation" or "incorporated" or any other word, abbreviation,
affix or prefix indicating that it is a corporation in the corporate name
of a corporation organized under this subtitle, other than the words
"chartered" or "professional association," or the abbreviation "P.A."
is specifically prohibited. A corporation may render professional
services and exercise its authorized powers under a name which is
identical to its corporate name except that the words "chartered" or
"professional association" or the abbreviation "P.A." is omitted,
provided the corporation has first registered the name to be used in
the same manner as required for the registration of fictitious names.
441.
(a) A corporation under this subtitle shall have perpetual ex-
istence until dissolved in accordance with other provisions of this
Article.
(b) Whenever all shareholders of a corporation licensed under this
subtitle cease at any one time and for any reason to be licensed,
certified or registered in the particular field of endeavor for which
the corporation was organized, the corporation thereupon shall be
treated as converted into, and shall operate henceforth solely as,
a corporation under applicable provisions of this Article, exc |
