of the business and/or professional community of the county.] An
official of any participating political subdivision may be appointed
and qualify as a member of the Authority but shall not be reim-
bursed for his services as a member of the Authority. Such official,
however, may be reimbursed for actual expenses incurred in carry-
ing out the duties of membership of the Authority. [If either
Baltimore City or Baltimore County or both fail to appoint either
or both of their members to the Authority within 90 days after
June 1,1961, then the Governor of Maryland shall appoint such mem-
ber or members provided said appointee or appointees reside in the
political subdivision they are appointed to represent and otherwise
qualify under the provisions of this article.]

(f) Vacancy; reappointment. Any vacancy in the membership
of the Authority caused by the expiration of a term or by the resign
nation, removal, death, or permanent absence from the area, of an
incumbent, or any vacancy caused by [Supervision] supervening
incapacity on the part of any member, whether physical or mental,
to discharge his duties, or any vacancy resulting from any other
cause, either actual or in effect, shall be filled for a new term or
for the remainder of the term of such incumbent, as the case may
be, in the same manner as provided herein for the appointment of
the first members of the Authority. Any member of the Authority
shall be eligible for reappointment.

(i) Quorum; open sessions, hearings or meetings; records. A
majority of the seven members [of the Authority constitute] con-
stitutes
a quorum for the transaction of business, and the affirmative
vote of [a] at least the majority of [the] such seven members
is necessary for any action taken by the Authority. A vacancy in
the membership of the Authority does not impair the right of a
quorum to exercise all of the rights and to perform all of the duties
of the Authority. All sessions, hearings or meetings of the Authority,
except executive sessions, shall be open to the public. The Authority
shall keep records of its proceedings, showing the vote of each mem-
ber on each question, or if absent, or failing to vote, indicating such
fact. The Authority shall keep a record of all resolutions, transac-
tions, findings, determinations and decisions, and all records of the
Authority shall be kept in the office of the Authority and shall be
public records.

(b)(6) A representative of Anne Arundel County designated
by the [Board of County Commissioners] County Executive of that
county.

(c) Annual reports; audits. On or before the first day of
December in each year, the Authority shall make an annual report
of its activities for the preceding fiscal year to the Governor and
to the General Assembly of Maryland, and shall send a certified
copy thereof to the mayor of the City, to the county [executive]
executives of Baltimore [County,] and Anne Arundel Counties [ana
to the president of the Board of County Commissioners of Anne
Arundel County]. Any such report shall include a complete
operating and financial statement covering its operations during the
year. The Authority shall cause an audit of its books and accounts
