Whereas, said drive resulted in funds and pledges amounting to
a total in excess of Three Hundred Thousand Dollars ($300,000.00) ;
and
Whereas, it has been decided that said civic auditorium should be
constructed on property now titled in the name of the County Com-
missioners of Wicomico County, Maryland, located on Glen Avenue,
Extended, near the City of Salisbury, which said property had been
conveyed unto said Commissioners by the following two deeds: (1)
by S. Franklyn Woodcock and wife, without consideration, for the
specific purpose of constructing a war memorial stadium thereon,
and that said real estate as an entirety be used in perpetuity as a
recreational center intended primarily for the youth of Wicomico
County, State of Maryland, but, also, for the citizens of Wicomico
County, State of Maryland, in general; and (2) from Thomas A.
Hearn and wife, without costs to the County, said deed containing no
restrictions, covenants, etc., but the donors thereof had the express
understanding that said land would be used in the same manner and
as an addition to the Woodcock tract; and
Whereas, the County Commissioners of Wicomico County, under
present law, have no authority to spend public money for the con-
struction of such war memorial as provided for in the aforesaid
Woodcock deed, said deed further providing that in the event the
property should ever be abandoned as a recreational center or used
for any other purpose, other than as set forth in said deed, the fee
simple title thereto shall revert to the said S. Franklyn Woodcock and
wife, or their heirs and assigns; and
Whereas, the money and pledges of the Wicomico War Memorial,
Inc. was not a sufficient amount to construct the type of building
which said corporation and the public felt appropriate; and
Whereas, to construct said building, the Wicomico War Memorial
Builders, Inc., a non profit corporation, created and existing under the
Laws of the State of Maryland, was duly organized, and all money
and pledges of said Wicomico War Memorial, Inc. were assigned to
said new corporation; and
Whereas, it is estimated that it will be necessary to borrow the
sum of One Hundred Fifty Thousand Dollars ($150,000.00) from out-
side sources to complete the construction of said Civic Auditorium as
planned, and said loan must be secured to the satisfaction of the lend-
er and/or lenders; and
Whereas, the said S. Franklyn Woodcock and wife have agreed to
join in the execution of a deed from the County Commissioners of
Wicomico County to the Wicomico War Memorial Builders, Inc. con-
veying the hereinafter described land in fee simple, free, clear and
discharged from any and all of the restrictions, conditions and stipula-
tions contained in the aforementioned deed; and
Whereas, the Wicomico War Memorial Builders, Inc. have con-
sented to enter into an agreement with the County Commissioners
of Wicomico County, Maryland, that when said civic auditorium
and land are free and clear of all liens that said land and building
