shall be able and liable to sue and be sued, in any
court of law or equity, and may have and use a com-
mon seal, and the same at their pleasure, alter or renew
and shall have power to purchase, have, hold and en-
joy to them and their successors, such piece or parcel of
land as the said Weaver may be willing to sell for a
cemetery, and such other pieces or parcels of land ad-
joining thereto, as they may from time to time, acquire

by purchase or otherwise; provided, the area of the
whole shall not exceed fifty acres, for the purpose of
establishing, maintaining and improving a public cem-
etery, which is hereby declared to be the only object
for which said corporation is created, with authority to
the said corporation to receive gifts and bequests for the
purpose of ornamenting and improving said cemetery,
and to hold such personal property as may be requisite
to carry out the object of this act.

Directors —
how and when
elected.

SEC. 2. And be it enacted, That the affairs of said
corporation shall be conducted by five directors, who
shall be proprietors of lots, and who shall be elected by
a majority of the votes of the proprietors, on the first
Monday of January in each year, after the first election
hereinafter provided for, and who shall remain in office
one year, and until successors be elected: in all elections
and in the decision of all questions that may arise in the
general meetings of the proprietors under this act, each
proprietor of a lot, his or her heirs, or legal representa-
tive or representatives shall be entitled to one vote for each
and every lot held by him, her, or them, respectively, and
may vote in person or by proxy, and the presence of a
majority in interest, in person or by proxy, shall be ne-
cessary to the transaction of business, but a smaller
number may adjourn from time to time.

SEC. 3. And be it enacted, That the directors, a
majority of whom shall constitute a quorum for the
transaction of business, shall choose from their own bo-
dy a President, and in his absence a President pro tem-
pore, they shall have power to fill vacancies in their own
body, to call special meetings of the proprietors, of which
ten days previous notice shall be given by written no-
tice, posted at some public place in Weaverton, or by
such other mode as the proprietors in general meeting,
may direct; they shall have power to lay out, inclose
and ornament their grounds, to erect such buildings as
they may deem necessary, to lay out and dispose of bu-
rial lots, to set apart a lot or lots, in which strangers and
such other persons as they may admit, may be in inter-
red, to appoint a secretary and all other necessary offi-
