such receipt. If the Chairman or the Secretary of said
Commission finds that said articles of incorporation con-
form to the requirements of this section, he shall forth-
with endorse his approval thereon and issue a certificate
of approval to which shall be attached a copy of the ap-
proved articles. Upon such issuance of such certificate of
approval the corporate existence of said Authority shall
begin and thereupon such Authority shall be conclusively
deemed to have been lawfully and properly created and
established and authorized to exercise its powers under
this Act. Promptly thereafter the said Commission shall
record said articles of incorporation, together with the
endorsements thereon, in an appropriate book kept for that
purpose.
The Authority shall consist of five members to be ap-
pointed by the Board of County Commissioners of Balti-
more County, each of whom shall be a resident of Balti-
more County at the time of his appointment, and in mak-
ing such appointments, due consideration shall be given
to the knowledge, experience and familiarity of said ap-
pointees with the different geographical sub-divisions of
said County. The original appointments shall be made in
such manner as that the term of one member shall expire
on July 1, next succeeding the incorporation of the Au-
thority and the term of one member on each succeeding
July 1. Their successors shall be appointed for terms of
five years from the dates of expiration of the respective
terms of office, except that any person appointed to fill
a vacancy shall serve only for the unexpired term, and any
member of the Authority shall be eligible for reappoint-
ment. Immediately after their original appointments, and
the filing and approval of the articles of incorporation of
the Authority, the members of the Authority shall enter
upon their duties. The Authority shall elect one of its
members as Chairman and another as Vice-Chairman, and
shall also elect a Secretary, and a Treasurer, who may or
may not be members of the Authority, and both said of-
fices may be held by one person; and similarly, if deemed
necessary may elect one or more Assistant Secretaries and
Assistant Treasurers. When the Authority has been or-
ganized and its officers elected, the Secretary shall certify
to the State Tax Commission the names and addresses of
its officers, as well as the principal office of the Authority.
Any change in the officers, or in the location of the princi-
pal office shall likewise be certified to said Commission
within ten days after said change.
