CHAP. 282.

semble within thirty days from the time of such notifica-
tion, at the academy, and that said members shall then and
there proceed to fill such vacancy or vacancies in the
same manner that is directed by this act for other elections

of trustees; provided, that nothing in this act shall be con-
strued to prevent the subscribers to said academy from in-
creasing the number of trustees.

General powers.

SEC. 4. And be it enacted, That the trustees, or a ma-
jority of them, shall have power and authority to consti-

fessors, teachers and assistant teachers, for instructing the
students and pupils of the academy, in the various de-
partments mentioned or referred to, at the close of the first
section of this act, or in such of those departments as the
trustees, subject to the control of the subscribers, shall
think it proper that the students and pupils shall be taught
in; and to make ordinances and regulations not inconsis-
sent with the ordinances and by-laws established by the
subscribers, for the good government of the academy, and
the instructions of its students and pupils, and for exami-
nations of the students and pupils, and exhibitions of
their works, and to appoint such number of their own bo-
dy, as they shall think proper, to be a committee for super-
intending and transacting the business of the seminary,
and making rules for the management thereof; said rules
to be subject to revision and alteration by the trustees, and
ultimately by the subscribers; and that the trustees have
further power and authority to call general meetings of the
subscribers to the academy or members of the association,
whenever in their discretion they shall judge it proper to
call such meetings.

Right of voting
to be ascertain'd.

SEC. 5. And be it enacted, That for the purpose of as-
certaining who are entitled to vote for trustees of the aca-
demy, or at any proceedings of the members of the asso-
ciation or corporation, the trustees shall record in a book,
kept for that purpose, the names of all persons who have
subscribed to the academy, and the amount subscribed

by each of them; and that the right to vote, may be trans-
ferred by assignment in writing, under the hand and seal
of the party transferring it. and attested by one witness or
more, and may be disposed of by last will; and if not so
disposed of, shall descend to the legal representatives of
the deceased proprietor.

of proceedings.

SEC. 6. And be it enacted, That the trustees and the
committee of the trustees shall keep fair and accurate re-
cords of all their proceedings, and that said record shall be
