Section 3. Each of the Vice-Presidents of the Associa-
tion shall have such powers and duties as the Board of
Trustees may from time to time prescribe. In the absence,
sickness or incapacity of the President, the First Vice-
President shall have the powers and duties of the President.
Section 4. The Secretary shall have such duties as
may from time to time be prescribed by the Board of
Trustees.
Section 5. The Treasurer shall have such powers and
duties as may be prescribed from time to time by the
Board of Trustees.
Section 6. The Executive Director shall be elected by
the Board of Trustees of the Association. He shall have
general charge of all of the operations and activities of the
Association, subject to the directions of the President and
the Board of Trustees. He shall receive such compensa-
tion as may be fixed from time to time by the Board of
Trustees.
Article 6. Committees.
Section 1. There shall be an Executive Committee,
consisting of the President and not less than two nor more
than four members of the Board as fixed by the By-Laws,
the Board members to be elected by the Board of Trustees.
In the interim between meetings of the Board of Trustees,
the Executive Committee shall have and exercise all of
the powers of the Board. The Board of Trustees shall have
the right to review and confirm, rescind or modify any
action taken by the Executive Committee.
Section 2. There shall be such other committees as
shall be directed by the Board of Trustees, who shall be
elected by the Board or appointed by the President in
accordance with the direction of the Board and shall exer-
cise such functions, powers and duties as the Board may
from time to time prescribe.
Section 3. - Three weeks prior to the annual meeting
the President shall appoint a committee of not less than
three persons, not more than two of whom shall be mem-
bers of the Board of Trustees, who shall act as a Nomi-
nating Committee. Said committee shall report in writing
at the annual meeting a full list of nominations for officers
and trustees. Nominations may be made at the annual
meeting from the floor by any member, for any office to
be filled.
