Section 3. The Board of Trustees shall meet at such
times and at such places as it may from time to time
determine.

Section 4. A special meeting of the Board of Trustees
may be called at any time by the President of the Associa-
tion, upon such notice as may be fixed by the By-Laws.

Section 5. On the direction of any three members of
the Board of Trustees, a special meeting of the Board may
be called. Upon such direction, the Executive Director of
the Association shall call a meeting at such place and time
as may be so directed, giving at least three days notice
mailed to each member of the Board at his address as the
same appears on the records of the Association.

Section 6. At any meeting of the Board of Trustees
seven shall constitute a quorum.

Section 7. The Board of Trustees shall have power to
elect a person to fill a vacancy on the Board or as an officer
of the Association, however the vacancy may have occurred.
Any person so elected shall hold office until the next
annual meeting of the Association.

Section 8. The Board of Trustees shall have power
from time to time to establish the offices of Honorary
President, Honorary Vice-President or Past Director. Any
person elected to such office by the Board shall have the
right to sit at meetings of the Board, but shall have no
vote.

Article 5. Officers.

Section 1. The officers of the Association shall be the
President, such Vice-Presidents as may be fixed by the
By-Laws, Secretary and Treasurer.

Section 2. The President shall have general direction
over the activities of the Association. In accordance with
authority given him by the Board of Trustees from time
to time, he shall have power to appoint committees; make
appointments to the paid staff of the Association; dis-
charge members of the paid staff, provided that any person
so discharged may have the right to have his case reviewed
by the Board of Trustees. Subject to the direction and
review of the Board of Trustees, he shall have power to
prescribe the duties of all employees and committees, and
fill vacancies either in the paid staff or of committees of
the Board.
