of Governors is hereby created, which shall be and is hereby
made and constituted a body politic and corporate by the name
and style of the Board of Governors of the Memorial Hospital
of Cumberland, and by that name shall have perpetual suc-
cession, and shall be capable to sue and be sued, to have a
common seal, and the same at its pleasure to alter and/or
break, and to have all the powers herein granted it, and all
such other powers as shall be proper and necessary to operate
and manage said Hospital and/or a public general hospital,
as fully as if incorporated for such purposes under the pro-
visions of the Public General Laws of Maryland. Said Board
shall consist of seven members, and Thomas B. Finan, Tasker
G. Lowndes, Morris Rosenbaum, George G. Young and Arthur
J. Weber, and the Mayor of the City of Cumberland and the
President of the Board of County Commissioners of Allegany
County shall comprise said Board, and all the members of
said Board, with the exception of the said Mayor of Cumber-
land and the said President of the Board of County Commis-
sioners of Allegany County shall retain office until they shall
reach the age of sixty-five years or during good behavior. Said
Board shall elect from among its members a Chairman and a
Secretary and a Treasurer and shall hold regular monthly
meetings and oftener if necessary. Said Board shall have
power by a majority vote at any regular meeting to expel any
member thereof, for cause, and in the event of a vacancy
caused by death, resignation, expulsion, removal from the City
of Cumberland or its immediate suburbs, or upon the attain-
ing of the age of sixty-five years of any member thereof, said
Board shall elect a successor to fill such vacancy. The term
of the Mayor of the City of Cumberland and the President of
the County Commissioners of Allegany County as ex-officio
members of said Board shall be co-extensive with their re-
spective term of office and no longer.
13. That neither The Mayor and City Council of Cumber-
land nor said Board of Governors, shall be liable in any suit
brought against either for or by reason of the negligence of
any employee, servant or agent engaged in and about the
erection, maintenance or operation of said hospital.
14. That the said Board of Governors are hereby author-
ized to accept for and on behalf of said Memorial Hospital any
gift, devise or bequest of real or personal property, at any
time, from any source, by any means whatsoever, and to use
