Church, as enacted by Chapter 409 of the Acts of 1884, be and
the same are hereby repealed and re-enacted with amendments,
to read as follows:
3. The government of said corporation and the manage-
ment of its property, business and affairs are hereby vested in
a board of governors, to be known as the board of governors of
the Westminster Theological Seminary of the Methodist
Protestant Church, composed of eleven persons, constituted as
follows: The president of the faculty of said seminary ex-
officio, and five ministers and five laymen elected by the general
conference of the Methodist Protestant Church, and the said
board of governors, as such, shall constitute the said corpora-
tion.
6. The general conference of the Methodist Protestant
Church shall, at its session next succeeding June 1, 1922, and
at each quadrennial session thereafter elect five ministers and
five laymen to fill the vacancy occasioned by the expiration of
the terms of office of those members of said board of governors
previously elected by said general conference; and the members
of said board of governors thus elected, with the President of
the Westminster Theological Seminary, a member ex-officio,
shall succeed to all the rights, powers and privileges, and per-
form all the duties herein conferred and imposed upon their
immediate predecessor in office, and shall at the expiration of
their term of office surrender all their rights, powers, privi-
leges and prerogatives as said corporation, as well as said board
of governors, to their successors; and any vacancy occurring
in said board of governors by death, resignation or otherwise,
shall be filled by said board until the ensuing session of the
general conference of the Methodist Protestant Church, when
an election shall be held to fill such vacancy; but failure to elect
members of said board of governors shall not work a forfeiture
of this charter or the dissolution of the corporation hereby cre-
ated, or of the privileges hereby granted.
9. The president of the said board of governors, the treas-
urer, two other members of the Board of Governors and the
president of said seminary, ex-officio, shall constitute the local
or executive board of said governors; and that this local or
executive board be elected annually by the board of governors,
and shall discharge all the duties of the entire board during the
interim of its session.
