fects, of what kind, nature, or quality sover; and the same
to grant, convey, and dispose of; to sue and be sued, plead
and be impleaded, defend and be defended, in any court of
record, or any place whatsoever, and also to make, have,
and use, a common seal, and the same to break, alter and
renew at pleasure; and also to ordain, establish, and put in
execution, such by-laws and ordinances as shall seem ne-
cessary and convenient, for the government of the said cor-
poration; Provided, the same be not contrary to the laws of
the state of Maryland, or of the United States.

Sec. 6. And be it enacted, That when a sufficient num-
ber of shares shall have been subscribed, at the discretion
of the commissioners as aforesaid, due notice having been
given as aforesaid, by the said commissioners, the said com-
pany, or a majority of them, shall call a general meeting, at
such place as they shall think most advisable, who shall be

empowered to elect a President and five Directors, to man-
age the affairs of said company, for one year, or until a new
election of President and Directors shall be held, in the

manner directed by the by-laws of said company; and that
no subscriber or body politic shall have more than ten votes,
and that each share from one to ten be entitled to one vote.

Sec. 7. JAd be it enacted, That the President and Di-
rectors shall have power to appoint the time, and direct the
manner of holding the election of President and Directors,
which election shall be annual; may provide the mode of
transferring the stock of the company, and of furnishing

also regulate the amount of toll so as to correspond with
the rates of toll collected on said road in the state of Vir-
ginia, to be paid by all persons passing along or using said
road.

Sec. 8. And be it enacted, That the President and Di-
rectors, who may be elected in the manner hereinbefore
provided for, be, and they are hereby authorized and em-
powered to cut, dig, and make the said turnpike road, from

the north branch of the Potomac River, near Alexander
Smith's, in Allegany county, passing in and through said
county, to the north-west Virginia line, so as to intersect
with the north-western road of Virginia, both at the eastern
and western points fixed upon, at the respective Virginia
lines, by the body incorporated by the state of Virginia to

make said north-western turnpike road; the said President
and Directors first obtaining, in writing, the consent of the
owners of the land through which said turnpike road shall
pass; or if such consent cannot be had, and it become ne-
