of the meetings of the board by their election of a presi-
dent pro tempore.
Sec. 8. And be it enacted, That the president and di-
rectors, or a majority of them, shall have power to make
all such contracts and purchases, do all such acts, and use
and exercise all such powers, for and on behalf of said com-
pany, as may be necessary to the accomplishment of the
objects for which this company is incorporated, and may
appoint and employ all such officers, agents and servants, as
may be necessary for said purposes, and may allow them
such compensation as they may deem reasonable, and may
ordain and establish such by-laws as they may deem proper;

CHAP. 18.

Power, of presi-
dent and direc-
tors

Provided, that the same be not inconsistent with the con-
stitution and laws of the United States, or the constitution
and laws of the state of Maryland, or the provisions of this
act.

Proviso

Sec. 9. And be it enacted, That any ten or more stock-
lolders of said company who shall collectively own not
less than one hundred shares of the capital stock of said
company, shall have power at any time to call a general
meeting of the stockholders of said company, upon giving
ten days notice of the time and place of holding the same,
in which said notice shall be specified the object of said
call.

Sec. 10. And be it enacted, That the capital stock shall
be assignable and transferable on the books of the company,
either in person or by power of attorney.

Sec. 11. And be it enacted, That the dividends of the
profits of said company shall be declared semi-annually, on
the first Monday of July and the first Monday in January
and paid to the stockholders, or their legal representatives

Sec. 12. And bet it enacted, That nothing herein con
tained shall be construed in anywise to affect the right o
the legislature to levy a tax upon the real and personal pro
perty of said company, similar to any tax which may be
imposed on the real or personal property of this state.

Sec. 13. And be it enacted, That this act shall continue
in force until the year eighteen hundred and sixty, and tc
the end of the next session of the general assembly which
shall happen thereafter.
