CHAPTER 260.

 

AN ACT to incorporate the Baltimore Academy
of Music.

Passed March
10, 1864.

SECTION 1 . Be it enacted by the General Assembly
of Maryland, That Lemuel W. Gosnell, Samuel
S. Woolston and Charles Spilker are hereby con-
stituted and made a body corporate and politic, by
the name and style of the Baltimore Academy of
Music, and as such shall and may have perpetual
succession; may have a common seal at their plea-
sure, and may sue and be sued, do and suffer all
acts, exercise all the powers and rights, and be
subject to all the incidents belonging to such cor-
poration, for the purposes and under the limita-
tions hereinafter named.

Incorporated.

Sec. 2. And be it enacted, That the said parties,
as heretofore named, viz: Lemuel W. Gosnell,
Samuel S. Woolston and Charles Spilker, or a ma-
jority of them, or such other persons as the major-
ity of them may authorize or appoint, may take or
receive subscription to the capital stock of said
corporation, either in money or in land sufficient,
for the purpose of erecting thereon such buildings
as may be necessary for the object and purposes of
the said Baltimore Academy of Music, at a price
to be agreed upon between the said Lemuel W.
Gosnell, Samuel S. Woolston and Charles Spilcker,
or 'a majority of them, and those making the said
subscription in land, and every person who shall
subscribe for, or become the owner of one or more
shares of said stock shall, in virtue of such owner-
ship, be a member of the said corporation, and
shall be entitled, at all meetings of the stockhold-
ers, to one vote, in person or by proxy, for each
share of the capital stock which shall be held by
such person, and the shares of the said capital
stock shall be assignable or transferable, and shall
be considered as personal property.

Sec. 3. And be it enacted, That the capital stock
of the Baltimore Academy of Music shall consist
of two thousand five hundred shares of one hun-
dred dollars each, and no more; that the subscrip-
tion to the capital stock of said corporation shall
