Sec. 3. And be it enacted, That it shall, as soon
as the sum of twenty-five thousand dollars are sub-
scribed, to its capital stock, and biennially thereaf-
ter this first election, proceed to organize itself by
electing officers for the management of its affairs;
and shall select a suitable place as an office for the
use of said company where its business shall be
transacted.

When to be
organized.

Sec. 4. And be it enacted, That the officers of
this company shall consist of a President, a Board
of eight Directors, a Secretary and a Treasurer,
the President and Directors must be stockholders
and elected at a meeting called for that purpose
in accordance with the second Article of this char-
ter.

Officers.

Sec. 5. And be it enacted, That this company
shall have the power and privilege of issuing
stock to the amount of ten thousand shares at ten
dollars per share, and in no wise shall exceed this
sum or number of shares, the money arising from
the sale of this stock shall be applied solely and
exclusively to the making of a turnpike road from
the Monocacy river in Frederick county to Rock-
ville in Montgomery county, or to some point on
the Washington and Brookville turnpike or Union
plank road, or both, and for no other purpose, it
being understood that the company may acquire
property along the road or roads for the accomoda-
tion of gates, gate houses and gate house-keepers,
Supervisors of road or roads and other employees,
if deemed by said company expedient.

Issue of stock.

Sec. 6. And be it enacted, That this company
shall be allowed to take possession of, hold and
tise as their own all the roads (sixty-six feet in
width) and road bed leading from the Monocacy
river in Frederick county to Rockville in Mont-
gomery county, known as the Frederick and
Georgetown road or any other road leading to the
Washington and Brookville turnpike or Union
plank road or both of said roads, to grade the same,
change their course if necessary, to place culverts
and bridges where they may be needed, and to
macadamize them from the first named point
(Monocacy river) to the terminus herein named.

Power to hold
and use roads.

Sec. 7. And be it enacted, That the said com-
pany having perfected the said road or roads afore-
