society for the term of three years or until their successors
are elected. The special election to be held on the tenth day
of April, one thousand nine hundred and eight, as aforesaid,
shall be held at the headquarters of said society in Baltimore
city, and public notice of the same shall be given by adver-
tisement thereof, to be published in three daily newspapers in
Baltimore city by any three members of the society, who shall
sign their names to said public advertisement, not less than
five days prior to the date of said election. Said election shall
be by ballot, and the right to vote for said directors at said
special meeting shall be limited to members of said society
present in person or by proxy, who shall have actually become
members of said society on or before the seventh day of March
one thousand nine hundred and eight, and not later, and who
shall have paid her or his or its membership dues for one
thousand nine hundred and seven or for one thousand nine
hundred and eight, and no other member of said society shall
be entitled to vote at said election. The provisions herein
made for said election are mandatory and shall not be affected
or defeated by any declination upon the part of any officer or
director, or of the board of directors of said society, to accept
the same, but all the amendments to the certificate of incor-
poration of said society herein provided shall be deemed to
be accepted by and for said society upon the filing with or in
the office of the Secretary of State of Maryland, by any twenty
members of said society of a certificate signed by them to the
effect that they have accepted for themselves as members of
said society and for said society, the amendments to said cer-
tificate of incorporation of said society herein provided for.
The directors elected at said special meeting above provided
for shall forthwith or as soon as may be practicable after
their election proceed to elect the president, secretary, treas-
urer and other officers (other than directors) of said society
to serve until the annual meeting of said society of one
thousand nine hundred and nine, or until their successors are
elected.
SEC. 2. And be it enacted, That an additional section be
added to said certificate, to read as follows:
5. Stated annual meetings of the society for the election of
directors and the transaction of all other business that may
be brought before the society shall be held on the last Thurs-
day in January of each year at four P. M., at the headquarters
of the society or at such other place as the board of directors
may select. If it shall happen at any time that an election
of directors shall not be made on the day fixed for the annual
meeting, the corporation shall not for that reason be dissolved,
