way or any lateral branch thereof; and the rate of fare shall
not exceed two cents per mile; provided, said fare shall not be
less than five cents for passenger for any distance.

SEC. 6. And be it enacted, John F. Waggaman, Walter R.

Townsend, Robert D. Carter, Harry Hebden, D. C. Bennett,
Thomas G. Carter and A. J. Robinson, be and they are hereby
appointed the directors of said corporation for the first year
after the passage of this act and until their successors shall
have been duly elected and qualified in accordance with the

by-laws and regulations which shall be established by such
board; and said directors shall elect from their number a presi-
dent, vice-president, secretary and treasurer, and such other
officers as in their judgment may be to them necessary for the
proper management of the affairs of said company; the elec-
tion thereafter of directors of this corporation shall be by a
majority of the stockholders in said company attending in
person or by proxy at the annual meeting of stockholders, each
share of stock so represented being entitled to one vote; and
the board of directors, from time to time, may and shall make,
enact, alter and re-enact .any and all lawful by-laws, rules and
regulations touching the organization of said company, the
taking subscriptions to its capital stock, the payment of such
shall have full power in law and equity to enforce the same.

SEC. 7. And be it enacted, That this corporation shall have
the right to combine with any other electric or traction railway
or railways for the purpose of consolidation or transfer of its
right or property; and shall have the right to acquire other
electric or traction railways, and to this end shall have the
right to own stock of other traction railways.

Further
powers,

SEC. 8. And be it enacted, That said corporation, within the
scope of the full enjoyment of all the purposes hereinbefore
mentioned, shall have and enjoy, besides these powers and
privileges in this act particularly enumerated, all other general
powers, provisions and privileges conferred by the General
Incorporation Laws of this State upon companies duly incor-
porated under the same, and shall be subject to the general
regulations in such law provided, in so far as altered by the
provisions of this act, or by / any by-law or regulation of said
company adopted in lawful pursuance of the grant of power
hereby given.

SEC. 9. And be it enacted, That said company may enter
upon, grade, occupy and use any public road or highways or
street in said county or said city for the purpose aforesaid, so,
