dent, and may also elect a vice-president from their number
and a secretary and treasurer. The board of directors from
time to time may and shall make, enact, alter and re-enact any
and all lawful by-laws, rules and regulations touching the
organization of said company, the taking subscriptions to its
capital stock, the payment of such subscriptions, the issue and
transfer of certificates of stock, and the mode constituting all
the affairs of said company, and shall have full power in law
and equity to enforce the same.

SEC. 4. And be it further enacted, That said company,
within the scope of the full enjoyment of purposes herein-
before mentioned, shall have and enjoy besides those powers
and privileges in this Act particularly enumerated, all other
general powers, provisions and privileges conferred by the
general incorporation laws of this State upon companies duly
incorporated under the same, and shall be subject to the
general regulations in such law provided, as in so far as
altered by the provisions of this Act or any by-laws or regu-
lations of said company adopted in lawful pursuance of the
grant of powers hereby given.

SEC. 5. And be if further enacted, That said company
may enter upon grade, occupy or use any public road or
highway in said county or the streets, lanes or alleys of any
municipal corporations in said county for the purposes afore-
said ; subject, however, to the consent of the board of County
Commissioners of said county, and proper municipal authori-
ties of any municipal corporation in said county through
which it may run, and so, however, as not to prevent the
free and convenient travel over such roads, streets, lanes and
alleys by any citizen ; and they are further authorized to
acquire such rights of way or the fee of such lands as they
may find needful or advantageous to the construction or
operation of such railway or lines, by purchase, gilts, grant
or condemnation in the manner provided by law for acquisi-
tion of private property for public use within the limits of
Worcester county, Maryland.

SEC. 6. And be it further enacted, That said company, sub-
ject, however, to the constitutional right of amendment and
repeal, shall have perpetual continuance.
SEC. 7. And, be it further enacted, That the County Com-
missioners of Worcester county may, in their discretion,
exempt the property of said corporation formed hereby from
county taxes for a period of tive years from the date of its
beginning operations under the charter hereby granted.
SEC. 8. And be it further enacted, That this Act shall
take effect from the date of its passage.
