from the date of organization, or until their suc-
cessors shall he elected and take office, with full
power to till vacancies and elect officers the first
year; a majority of whom shall constitute a quo-
rum for the transaction of any business.

Management.

Sec. 4. And be it enacted, That the concerns of
the said Association shall be managed by a board
of directors to consist of fire members, one of
whom shall be the president, to be elected annually,
after the term of the directors named in the pre-
ceding section shall have expired, at such time and
place, and in such manner as shall he determined
by the by-laws of said Association, and to be stock-
holders of said Association, and to hold office until
their successors shall be elected and take office;
said board of directors shall prescribe the mode of
conducting the elections of said company, the man-
ner and evidence of transfers of its stock, the con-
ditions and forfeitures thereof; and are hereby
empowered to pass, pursuant to the provisions of
this charter, all lawful by-laws and resolutions for
the welfare of the company.

Prohibition.

Sec. 5. And be it enacted, That said Association
is hereby prohibited from selling, vending, or fur-
nishing its customers with any other than pure, un-
adulterated country milk, and the selling, vending
and furnishing of milk adulterated in any manner
whatever to any of the customers of said Associa-
tion by any of its officers, agents or employees,
while in its employ, shall be deemed a misdemean-
or, or punishable by a fine not to exceed the sum
of three hundred dollars, in the discretion of any
court of criminal jurisdiction within the city of
Baltimore, before whom complaint may be made,
and said Association may impose such a penalty
on its employees, and take such security to enforce
such penalty as shall be deemed necessary to pre-
vent the adulteration or sale of any impure or
adulterated milk by any of its employees while in
its employ, and also to prevent the embezzlement
of any monies paid to said employees for, or on
behalf of said Association, by its customers.

Banking pro-
hibited.

Sec. 6. And be it enacted, That the Baltimore
County Dairy Association, hereby incorporated,
shall not be authorized by anything contained in
this Act, to exercise banking privileges, or to issue
