poration Laws and to prepare and report to the Gen-
eral Assembly the draft of a law embodying all pro-
visions proper for a complete system of incorporation
law.
Under the authority so conferred, his Excellency,
the Governor, on February 25, 1903, appointed us,
whose names are undersigned, the members of that
commission.
The work assigned to us was promptly begun and
we now have the honor of submitting to the consider-
ation and judgement of the General Assembly, so
much of it as has been completed, as set forth in the
draft, for sections 1-92, inclusive, of Article XXIII of
the Code of Public General Laws, title "Corpora-
tions," accompanying this report, which we respect-
fully recommend for adoption, as a substitute for the
corresponding parts of the existing Article.
This portion should sufficiently explain itself.
It is intended to cover the requirements for the for-
mation of corporations, with appropriate provisions
and regulations applicable to corporations, generally,
and also to provide fully for ordinary business cor-
porations.
Certain classes of corporations remain to be provided
for.
As to them the work of! the commission is nearly
done, and we shall very soon ask leave to make a sup-
plementary report.
Joseph C. France, Esquire, has, at our request,
acted as secretary, and the members of the commis-
sion are under obligations to him for valuable co-opera-
tion and efficient service.
