SEC. 11. And be it enacted, That said company hereby
incorporated is hereby authorized to connect with or consolidate
with such road or roads as it may cross or connect with upon
such terms as may be agreed upon between them, or such com-
pany may purchase, lease or sell to such crossing or connecting
road or roads, or the same may be located or acquired by it, and
for that purpose power is hereby given to it and to such other
company or companies to make and carry out such contracts,
and to do all such other proper and necessary acts and things
as will facilitate and consummate such connections, merger or
consolidation, lease or purchase; provided, a copy of every such
contract of consolidation, lease and merger shall be filed in the
office of the clerk of the Circuit Court for Allegany County,
and be recorded in the Corporation Records of said county;
and provided, that no merger or consolidation made under the
provisions of this act shall exempt the property of the Western-
port and Keyser Electric Railway and Power Company from
taxation.

SEC. 12. And be it further enacted, That the president and
directors of said corporation or a majority of them shall have
power to make and adopt, offer and amend, such by-laws, rules
and regulations for the direction and management of said com-
pany as in their judgment from time to time may be necessary
for the purposes of incorporation, provided they are not incon-
sistent with the Constitution and laws of the State and the
provisions of this act; and the president and the directors of
said company or a majority of them shall have the power to
employ all such agents and servants as in their judgment may
be necessary for the construction, maintenance, repair and
preservation of the railway and other property of said company
and the running of cars and the transportation of passengers
and freight thereon, and for the transaction of the business
for which it is incorporated.

SEC. 13. And be it enacted, That said company be and it is
hereby authorized in order to construct said railway on such
land or property of any individual or corporation, or on such
private right of way of an individual or corporation it may
deem necessary to occupy in order to construct said railway
between the points authorized by this act, and where the consent
of the owners of such ground or property can not be obtained,
shall have and may exercise in its discretion the right and
power of condemnation, as provided in the Code of Public
General Laws, Article 23, title "Corporations," sub-title "Rail-
road Companies," and to buy, lease, sell or consolidate with
