SECTION 1. Be it enacted by the General Assembly of
|
 
|
Maryland, That John S. Stevenson, James B. Horsey,
|

Townsend, of Worcester county, and their successors,
|
 
|
who shall be duly elected in the manner hereinafter
|
 
|
provided and directed, he and they are hereby incorpo-'
|
 
|
rated and made a body politic forever, by the name and
|
 
|
style of the Trustees of New Town Academy of Wor-
|
 
|
cester county, by which name and style the said trus-
|

tees, and heir successors, shall be capable in any court
|
 
|
of law or equity, in this State, to sue and be sued, to
|
 
|
defend and be defended, to answer and be answered, to
|
 
|
hold, whether acquired by purchase, gift or devise,
|
 
|
property, real, personal or mixed, and the same to use,
|
 
|
manage and employ in such manner as they, or a majo-
|
 
|
jority of them, may deem most beneficial to carry into
|
 
|
effect the purposes of the institution, and to sell or dis-
|
 
|
pose of the same, and in fine, to do and perform any
|
 
|
act or acts which any corporation or body politic, with-
|
 
|
in this State, and in like cases, may or can do and per-
|
 
|
form; and the said trustees and their successors are
|
 
|
hereby authorised to have and use one common seal,
|
 
|
and the same to break; alter and renew at pleasure;
|
 
|
provided always, that the property to be held by the
|
 
|
said trustees, in their corporate capacity, shall not ex-
|
 
|
ceed the annual value of one thousand dollars.
|
 
|
SEC. 2. And be it enacted, That whenever any of

the said trustees shall die, resign or refuse to act or

|
qualify, or shall cease to reside in Worcester county,
|
 
|
the remaining trustees, or any two of them, shall by
|
 
|
public notice appoint a day, not less than fifteen days
|
 
|
thereafter, for the election of another trustee to fill E
|

such vacancy, which election shall be by ballot, and
|
 
|
conducted as follows, to wit:— every subscriber to said
|
 
|
institution shall be entitled to one vote for every five
|
 
|
dollars by him or her subscribed and paid, and the per-
|
 
|
son having a majority of votes, shall be declared the
|
 
|
trustee to fill such vacancy; Provided, that ho person
|
 
|
but a male subscriber shall be a trustee; and the trus-
|
 
|
tees shall record in a book, provided for that purpose,
|
 
|
the names of all persons who shall subscribe to said in-
|
 
|
stitution, and the amount subscribed by each; and the
