entitled "an act to incorporate the German Fire In-
surance Company of Baltimore, " be and the same
are hereby repealed and re-enacted so as to read as
follows:

SEC. 2. And be it enacted, That the capital stock of
this company shall consist of a sum not exceeding
five hundred thousand dollars, divided into fifty
thousand shares of a par value of ten dollars per
share.

SEC. 3. And be it enacted, That said stock shall be
issued in such manner and upon such terms as the
directors of the company shall from time to time
determine.

SEC. 6. And be it enacted, That the stockholders,
comprising this company or their representatives by
proxy, shall on the first Monday of March of each
and every year hereafter, choose by ballot from
among the stockholders twelve directors to serve
one year, each stockholder to be entitled, at such
election and at all general meetings of the stock-
holders for any purpose relative to the affairs of the
company, to one vote for every share of stock which
he, she or they may hold; the directors so chosen

shall serve until the first Monday in March next,
succeeding their election, and until others are chosen;
at their first meeting, after every annual election,
they shall choose by ballot a president and vice-presi-
dent, either from among their own body or from
among the other stockholders; and in case of death,
resignation or disqualification of the president or
vice-president, or a director, the directors shall pro-
ceed to elect another to fill such vacancy for the re-
mainder of the year.

Duration of
service.

SEC. 3. And be it enacted, That the General Assem-
bly reserves to itself the right to alter or repeal the
charter hereby amended.

SEC. 4. And be it enacted, That this act shall take
effect as soon as a majority in amount of the whole
number of stockholders of the company shall accept
the same, as provided by section nineteen of the
original act, to which this is an amendment.
