if cast at any such meeting shall control all others,
and carry or defeat the measure for or against
which the same may he cast.

President.

Sec. 6. And be it enacted, That the affairs of the
said Company shall he managed by a President
and Board of Directors and such other officers and
agents as such President and Directors or a majority
of them, may deem best, and there shall he one
Director for each five hundred shares of stock sub-
scribed for or sold, and also an additional Director
for each one hundred thousand dollars of the bonds
of the said Company, endorsed or guaranteed by
any other corporation than the Mayor and City
Council of Baltimore, and if any corporation other
than the Mayor and City Council of Baltimore shall
become a subscriber to five hundred or more shares
of the said capital stock, or the endorser or guar-

antor of one hundred thousand dollars or more of
the said bond, such corporation shall be represented
in the Board of Directors so long as it is the holder
of stock or so long as it may remain directly, or
secondarily liable upon the said endorsement or
guarantee, as the case may be, by one Director for
each five hundred shares of stock held by it, or one
Director for each one hundred thousand dollars of
bonds, upon which its endorsements or guarantee
may be out standing, and the Mayor and City
Council of Baltimore shall also be at all times en-
titled to the appointment of such number of Direc-
tors as will continually secure to it a majority of
one member in the Board of President and Direc-
tors, and the Directors upon the part the Mayor
and City Council of Baltimore, and any other cor-
poration shall be appointed in the manner set
forth in the fourth Section of this Act.

Powers of
officers.

Sec. 9. And be it enacted, That the President
and Directors of the said Company shall be in-
vested with all the rights and powers necessary
and convenient for the construction and repair of
a railroad from a point connecting with the rail-
road of the Western Maryland Railroad Company
at or near the northwestern boundary of the city
of Baltimore, or from the eastern terminus of the
tunnel to be constructed by the Baltimore and Po-
tomac Railroad Company in the city of Baltimore,
or from any point on the Northern Central Rail-
