association, and pay to the funds of said Institu-
tion the sum of fifty dollars, or ten dollars annu-
ally for the term of six years, shall be a member
for life, and every person paying the sum of two
dollars annually shall be a member while he con-
tinues to contribute the said sum, such payment
to be made at the time and in the manner pre-
scribed by the by-laws of said association.

Sec. 3. And be it enacted, That the estate and
concerns of said corporation shall be managed and
conducted by sixteen Managers, of whom twelve
shall be elected by members of the association,
and two appointed by the Mayor and City Coun-
cil of Baltimore, and two shall be appointed by
the Governor, in the mouth of February annually.

Sec. 4. And be it enacted, That the members of
the association shall assemble on the third Mon-
day of February annually, at such place in the
city of Baltimore as the Board of Managers may
from time to time appoint, and of which the Pres-
ident, or in case of his absence or refusal, the
Secretary, or any member of the association, shall

give notice in at least two of the daily papers in
the city of Baltimore, and elect by a plurality of
ballots twelve Managers.

Sec. 5. And be it enacted, That whenever any
vacancy in said Board of Managers shall occur by
death, resignation, removal or otherwise, the same
shall be filled for the remainder of the year by
such person as the Board of Managers for the time
being, or a majority of them shall appoint, except
the two appointed by the Governor, in which case
the Governor shall fill the vacancy.

Sec. 6. And be it enacted, That if the said an-
nual election and appointment shall not take place
at the times appointed for that purpose, the said
corporation shall not therefor be dissolved, but
the members of said Board shall continue in office
until a new election and appointment shall be had.

Sec. 7. And be it enacted, That five of said Man-
agers shall constitute a quorum for the transaction
of business.

Sec. 8. And be it enacted, That the said Mana-
gers shall appoint from their own body a Presi-
dent, a Secretary and Treasurer, and prescribe the
duties of each.
