ent, whereupon the subscribers, or a majority of
them, shall elect five Directors, by ballot to man-
age the affairs of said Company, which Directors,
or a majority of them, shall have power to elect a
President either from among the Directors or
others, and shall allow him such compensation for

 

his services as they shall deem proper, and on said
election and all other elections by the stockholders
of said Company each shall be allowed one vote
for every share owned by him or her, and every
stockholder may vote either in person or by proxy,
and the Commissioners aforesaid or any three of
them shall be the judges of the first election of
Directors.

Sec. 5. And be it enacted, That to continue the
succession of said Company a general meeting of
the stockholders shall be held annually, at which
meeting a Board of Directors shall be elected as
aforesaid, and other meetings of the stockholders
may be called by the President and Directors, or a
majority of them, according to such rules as may
be furnished by the by-laws of said Company, and
the Board of Directors may meet as often as may
be necessary for the transaction of the business of
the Company.

Sec. 6. And be it enacted, That the Company
hereby incorporated and organized shall have
power to make and construct a turnpike or grav-
eled road from the present terminus of the Charles
Street Avenue, in Baltimore County, to the village
of Lutherville, in said county, by such route as to
the President and Directors aforesaid may deem
most advantageous to the public interests, and
of which the bed of the road shall be not less than
eighteen feet, and the width of the road not less
than sixty-six feet or over eighty feet.

Construct

Sec. 7. And be it enacted , That whenever the
said road shall be completed so as to intersect the
Joppa Road, the said Company may erect a toll-
gate upon said road, and may demand and receive
the same tolls and rates as are now allowed by
law to the Charles Street Avenue Company, and
may enforce the collection thereof in the same way
and under like penalties, and as soon as the said
road is entirely completed the said Company may
also erect another toll-gate between the Joppa
