as may rightfully appertain to them consistently
with the objects and powers heroin expressed and
conferred. |
Objects of
incorporation. |
Sec. 2. And be it enacted, That the object of
said institution or Seminary, shall be the promo-
tion of a liberal female education. |
How conduc-
ted. |
Sec. 3. And be it enacted, That said Seminary
shall be established and conducted upon the plan
of donations, to an amount not exceeding fifty
thousand dollars. That if the Trustees deem it
expedient they may sell stock not to exceed ten
thousand dollars in amount, but said stock shall
not be sold less than par. |
Capable of
holding prop-
erty by gift,
&c. |
Sec. 4. And be it enacted, That in addition to
the amount before mentioned, the Corporation
shall be capable of holding by gifts, grant, bequest
or devise other property and and funds, real, per-
sonal and mixed, to an amount not exceeding the
annual value of ten thousand dollars, to be used
for the general purposes of the said Seminary and
with power to sell, transfer, lease and convey any
part thereof. |
Trustees—
bow chosen. |
Sec. 5. And be it enacted, That the Trustees of
said Seminary shall be chosen by the Lutheran
Congregation of St. Pauls, Burketterville, Fred-
erick county, Maryland, and by those whom they
may delegate this power. |
To hold of-
fice. |
Sec. 6. And be it enacted, That the present Trus-
tees who have been chosen at a general meeting
of the patrons, shall hold their office until the first
Monday of November next, when and on every
second year, thereafter on said day, (or such other
day as may be fixed by the by-laws,) shall be chosen
a Board of Trustees in such mode and of such quali-
fications as may hereafter be prescribed by the by-
laws. |
Quorum for
the transaction
of business, |
Sec. 7. And be it enacted, That a majority of
said Trustees shall constitute a quorum for the
transaction of business, said Trustees shall have
the power to appoint the Principal of said Semi-
nary, and such Professors and Teachers as may
from time to time be deemed expedient. To fix
their several salaries, to determine the course of
study; to adopt all rules for the government of
said Institution. |
