(b) A "fixture filing" is the filing, in the office where a RECORD OF A
mortgage on the real estate would be filed or recorded, of a financing statement
covering goods that are or are to become fixtures and conforming to the requirements
of [subsection (5) of § 9-402] § 9-502(A) AND (B);

4-210.

(c) Receipt by a collecting bank of a final settlement for an item is a
realization on its security interest in the item, accompanying documents and
proceeds. So long as the bank does not receive final settlement for the item or give up
possession of the item or accompanying documents for purposes other than collection,
the security interest continues to that extent and is subject to Title 9, but:

(1) No security agreement is necessary to make the security interest
enforceable (§ [9-203(1)(a)] 9-203(B)(3)(A));

(2) No filing is required to perfect the security interest; and

(3) The security interest has priority over conflicting perfected security
interests in the item, accompanying documents, or proceeds.

6- 102.

(1) A "bulk transfer" is any transfer in bulk and not in the ordinary course of
the transferor's business of a major part of the materials, supplies, merchandise or
other inventory [(§ 9-109)] (§ 9-102) of an enterprise subject to this title.

(2) A transfer of a substantial part of the equipment [(§ 9-109)] (§ 9-102) of
such an enterprise is a bulk transfer if it is made in connection with a bulk transfer of
inventory, but not otherwise.

(3) The enterprises subject to this title are all those whose principal business
is the sale of merchandise from stock, including those who manufacture what they
sell, restaurants, and all vendors and sellers of alcoholic beverages, regardless of the
form in which such beverages are sold, and regardless of whether sold on a wholesale
or retail basis.

(4) Except as limited by the following section all bulk transfers of goods
located within this State are subject to this title,

7- 503.

(1) A document of title confers no rights in goods against a person who before
issuance of the document had a legal interest or a perfected security interest in them
and who neither

(a) Delivered or entrusted them or any document of title covering them
to the bailor or his nominee with actual or apparent authority to ship, store or sell or
with power to obtain delivery under this title (§ 7-403) or with power of disposition
under Titles 2 and 9 of this article (§§ 2-403 and [9-307] 9-320) or other statute or
rule of law; nor
