(II) ANY OTHER EVENT.

(2) Any of the preferences, conversion or other rights, voting powers,
restrictions, limitations as to dividends, qualifications, or terms or conditions of
redemption of any class or series of stock may be made dependent upon facts
ascertainable outside the charter and may vary among holders thereof, provided that the
manner in which such facts or variations shall operate upon the preferences, conversion
or other rights, voting powers, restrictions, limitations as to dividends, qualifications, or
terms or conditions of redemption of such class or series of stock is clearly and expressly
set forth in the charter.

SECTION 2. AND BE IT FURTHER ENACTED, That this Act is not intended to
alter the duties of a board of directors in authorizing the issuance of stock with terms that
are dependent on facts ascertainable outside the charter or in taking any action or making
any determination that constitutes a fact ascertainable outside the charter.

SECTION 3. AND BE IT FURTHER ENACTED, That this Act shall take effect
October 1, 1995.

Circuit Court Real Property Records Improvement Fund

FOR the purpose of extending and codifying the termination date of the Circuit Court
Real Property Records Improvement Fund; establishing an Oversight Committee to
advise the State Court Administrator on certain matters; requiring the Administrator
to report annually to certain committees of the General Assembly before a certain
date; defining a certain term repealing a certain uncodified provision; and generally
relating to the Circuit Court Real Property Records Improvement Fund.
