                                              Preamble

WHEREAS, The General Assembly of Maryland created the Harford Educational
Foundation to provide student aid in Harford County, setting forth the provisions in
Article 25, Section 232 of the Annotated Code of Maryland; and

WHEREAS, The Harford Educational Foundation has been managed by the
administrative staff of the Harford Community College under the supervision of the
College's Board of Trustees; and

WHEREAS, The Harford Educational Foundation has established both a revolving
loan fund program and a scholarship program at Harford Community College with
substantial donations from private citizens and with no proceeds from tax revenues; and

WHEREAS, The Harford Community College created a nonprofit charitable
corporation, the Harford Community College Foundation, Inc. on May 5, 1989; and

WHEREAS, The charter of the Harford Community College Foundation, Inc. sets
forth its powers and its dedication to the support of the Harford Community College and
its students; and

WHEREAS, The charter of the Harford Community College Foundation, Inc. is
recorded among the Corporate Records of Harford County in Liber C.G.H. No. 62, folio
757, as amended by charter amendments recorded in Liber 68, folio 16; and

WHEREAS,' To avoid confusion, to improve administration, and to improve
fund-raising, the Boards of Directors of the Harford Educational Foundation and of the
Harford Community College Foundation, Inc. believe that the educational purposes of
both Foundations would be better served by the merger of both corporations under
conditions to which both corporations mutually agree; now, therefore,

SECTION 1. BE IT ENACTED BY THE GENERAL ASSEMBLY OF
MARYLAND, That the Laws of Maryland read as follows:
