(b) This subtitle does not apply to any offer involving a
class vote by stockholders of the target company, under the
certificate of incorporation or the applicable corporation
statute, on a merger, consolidation, share exchange,
reclassification of securities, or sale of corporate assets in
consideration of the issuance of securities of another
corporation, or sale of its securities in exchange for cash or
securities of another corporation.]

Take-Over Law.]

SECTION 2. AND BE IT FURTHER ENACTED, That this Act shall

take effect July 1, 1986.

AN ACT concerning

Vehicle Laws - Odometer Fraud

FOR the purpose of prohibiting certain acts that change the

number of miles indicated on an odometer; prohibiting the
sale or use of certain devices used to alter an odometer;
making a violation of this Act an unfair and deceptive trade

practice; prohibiting the sale or use of certain vehicles
and generally relating to odometer fraud.
