(1) EVERY AUTHORITY IN THIS STATE MAY, FROM TIME
TO TIME, AND IN THE MANNER PROVIDED IN THIS SECTION, AMEND
ITS ARTICLES OF INCORPORATION TO:

(I) ADOPT A NEW NAME; OR

(II) CHANGE, ADD TO, OR DIMINISH ITS
POWERS AND PURPOSES.

(2) THE AMENDMENT MAY CONTAIN ONLY SUCH
PROVISIONS AS IT WOULD BE LAWFUL OR PROPER TO INSERT IN
ARTICLES OF INCORPORATION MADE AT THE TIME OF THE AMENDMENT.

(B) MANNER OF AMENDMENT.

THE AMENDMENT SHALL BE MADE IN THE FOLLOWING MANNER:

(1) THE AMENDMENT SHALL FIRST BE PROPOSED BY THE
BOARD BY THE ADOPTION OF A RESOLUTION SETTING FORTH THE
PROPOSED AMENDMENT AND DIRECTING THAT IT BE SUBMITTED TO THE
GOVERNING BODY OR GOVERNING BODIES OF THE MUNICIPALITY OR
MUNICIPALITIES COMPOSING THE AUTHORITY. THE RESOLUTION
SHALL CONTAIN THE LANGUAGE OF THE PROPOSED AMENDMENT TO THE
ARTICLES OF INCORPORATION BY PROVIDING THAT THE ARTICLES OF
INCORPORATION SHALL BE AMENDED TO READ AS SET FORTH IN FULL
IN THE RESOLUTION, OR THAT ANY PROVISION BE AMENDED SO AS TO
READ AS SET FORTH IN FULL IN THE RESOLUTION, OR THAT THE
MATTER STATED IN THE RESOLUTION BE ADDED TO OR STRICKEN FROM
THE ARTICLES OF INCORPORATION. AFTER THE AMENDMENT HAS BEEN
SUBMITTED TO THE GOVERNING BODY OR GOVERNING BODIES OF THE
MUNICIPALITY OR MUNICIPALITIES COMPOSING THE AUTHORITY, THE
GOVERNING BODY OR GOVERNING BODIES SHALL ADOPT OR REJECT THE
AMENDMENT BY RESOLUTION OR ORDINANCE.

(2) AFTER AN AMENDMENT HAS BEEN ADOPTED BY THE
GOVERNING BODY OR GOVERNING BODIES, ARTICLES OF AMENDMENT
SHALL BE EXECUTED UNDER THE SEAL OF THE AUTHORITY BY 2
AUTHORIZED OFFICERS OF THE AUTHORITY WHO SHALL ALSO CERTIFY
UNDER OATH THE MATTERS AND FACTS SET FORTH IN THE ARTICLES
OF AMENDMENT.

(3) THE ARTICLES OF AMENDMENT SHALL CONTAIN:

(I) THE NAME AND LOCATION OF THE PRINCIPAL
OFFICE OF THE AUTHORITY;

(II) THE AMENDMENT, IN FULL, ADOPTED BY
THE GOVERNING BODY OR GOVERNING BODIES OF THE MUNICIPALITY
OR MUNICIPALITIES COMPOSING THE AUTHORITY; AND

(III)  A STATEMENT THAT THE AMENDMENT WAS
PROPOSED BY THE BOARD OF THE AUTHORITY AND HAS BEEN ADOPTED
BY THE GOVERNING BODY OR GOVERNING BODIES OF THE

MUNICIPALITY OR MUNICIPALITIES COMPOSING THE AUTHORITY.
