enacted, with amendments to read as follows:

40A-3.

The powers and duties of the Trust shall vest in and be exercised

by the Prince George's County Planning Board. THE POWERS
AND DUTIES OF THE TRUSTEES SHALL BE VESTED IN
AND BE EXERCISED BY A BODY OF TWELVE TRUSTEES
WHO SHALL BE INITIALLY APPOINTED ON JULY 1, 1968
BY THE BOARD OF COUNTY COMMISSIONERS AS FOL-
LOWS: THREE MEMBERS FOR TERMS OF ONE YEAR
EACH, THREE MEMBERS FOR TERMS OF TWO YEARS
EACH, THREE MEMBERS FOR TERMS OF THREE YEARS
EACH, AND THREE MEMBERS FOR TERMS OF FOUR
YEARS EACH. ONE MEMBER OF THE BOARD SHALL BE
A MEMBER OF THE HOUSE OF DELEGATES. AS THE
TERMS OF THE APPOINTED TRUSTEES EXPIRE, THE
BOARD OF COUNTY COMMISSIONERS SHALL APPOINT
THEIR SUCCESSORS FOR A TERM OF FOUR YEARS. IN
THE EVENT THAT A TRUSTEE FOR ANY REASON FAILS
TO SERVE OR TO COMPLETE ANY APPOINTMENT OR
ELECTED TERM, THE SUCCESSOR SHALL BE APPOINTED
BY THE BOARD OF COUNTY COMMISSIONERS. THE
SELECTION OF TRUSTEES SHALL BE SUCH AS TO OB-
TAIN A GEOGRAPHICAL DISTRIBUTION OF TRUSTEES
THROUGHOUT PRINCE GEORGE'S COUNTY IN SO FAR
AS PRACTICABLE AND CONSISTENT WITH THE PUR-
POSE OF THE TRUST. [The powers and duties of the Trust
shall vest in and be exercised by a body of twelve Trustees who shall
be initially appointed by the Board of County Commissioners as
follows: three members for terms of one year each; three members
for terms of two years each; three members for terms of three
years each; and three members for terms of four years each. As the
terms of the appointed Trustees expire, their successors shall be
elected by a majority vote of a quorum of the Trustees for a term of
four years and thereafter these positions shall be so filled. In the
event that a Trustee for any reason fails to serve or to complete any
appointed or elected term, a successor shall be elected by a majority
vote of a quorum of the Trustees for the remainder of such term.
Selection of Trustees whether by delegation, appointment or election
should be such as to obtain a geographical distribution of Trustees
throughout Prince George's County insofar as is practicable and con-
sistent with the purpose of the Trust.]

The Trustees shall elect one of their number to serve as Chairman.
The Trustees shall meet at places and dates to be determined by the
Trustees not less than two times a year. The Director shall serve
as secretary to the Board. Special meetings shall be called by the
Director upon order of the Chairman on the Chairman's own initia-
tive and must be called by the Director at the request of three
[four] or more Trustees. All Trustees shall be notified by the Di-
rector in writing of the time and place of all meetings at least seven
days in advance of such meeting, except that meetings may be held
on shorter notice if all Trustees shall agree. Four [nine] Trustees
shall constitute a quorum. In the event that at any time there is
